AND WHEREAS the Assignors has/have been sold/allotted Residential Unit
/ Flat no.J-1308 being 02 BHK Apartment, on Thirteenth floor,
admeasuring Carpet area about 66.70 Sq.mtrs. i.e. 718 Sq.ft. Carpet with
Sit Out admeasuring Carpet area about 5.57 Sq. mtrs. i.e. 60 Sq. ft.
Carpet and exclusive right to use One Open Car Parking on Ground floor

in the Building No. J of scheme known as "ASAWARI" (NRD No. 8) in the


Special Township known as "NANDED CITY" which flat is hereinafter
referred to as the ‘said premises’ and more particularly described in the
Schedule IV hereunder written (hereinafter referred to as the; Said
Premises’) was purchased from M/s. Nanded City Development and
Construction Company Limited (hereinafter referred to as ‘the said
Promoter”) vide Articles of Agreement dated 09/10/2013 and duly
registered at the office of the Joint Sub Registrar Haveli No. 16, Pune at
Serial No. 8197/2013 on 09/10/2013. (hereinafter referred to as the
‘said Agreement').

AND WHEREAS the Assignors have agreed to transfer and assign in favour
of the Assignee and the Assignee has agreed to acquire from the Assignors
all the beneficial right, title and interest of the Assignors in or to the said
premises for the consideration of Rs. 60,00,000/- (Rs. Sixty Lacks Only)
and on the terms and conditions therein contained.

NOW THIS INDENTURE WITNESSETH and it is hereby agreed byand

between the parties hereto as under:

1. The Assignors hereby agree/s to assign and transfer/s in favour of
the Assignees

(i) all the beneficial right, title and interest of the Assignors in or to

the said premises and also together with.

(ii) all the rights, interests and benefits of the Assignors and the
amounts standing to the credit of the Assignors in the books of the
promoter, for brevity’s sake (i) & (ii) are hereinafter referred to as

the ‘said property’ and the Assignees has/have agreed to acquire

the said property from the Assignors at or for the total


consideration of Rs. 60,00,000/- (Rs. Sixty Lacks Only) paid in full
on/before the execution of these presents by the Purchaser/s
herein unto the Vendor/s in following manner:

TThe receipt of which the Assignors acknowledge/s, release/s,

discharge/s and acquit/s the Assignees therefrom.

2. The Assignors has/have upon the execution of these presents and


upon receipt of full payment put the Assignees in peaceful and

vacant possession of the said premises for his/her/their exclusive


use, benefit and occupation.

3. Upon the execution of these presents/receipt of full payment


the Assignors shall sign and execute all other documents and
writings necessary to effectuate a proper transfer by the Assignors
in or of the said property in favour of the Assignees.

4. The Assignors shall pay all outstanding outgoings in respect of the


said property such as Municipal rates, cesses, taxes, or charges and

dues upto/the execution of these presents and thereafter the


Assignees shall bear and pay all such outgoings.

5. The Assignees has/have agreed to acquire the said property from


the Assignors on the express assurance given by the Assignors that
the same is free from all claims, doubts and encumbrances and that
the Assignors has/have not done or omitted to do any act, deed,

matter or thing whereby or by means whereof the Assignors is /


are prevented from assigning or transferring the said property in
favour of the Assignees or whereby any person or party has

acquired any right, title or interest in the said property.

6. The Assignors undertake/s to indemnify and keep indemnified the
Assignees his/her/their heirs, successors or assigns and at all times
against any claims arising by, through, or under the Assignors in
respect of the said property and undertake/s to keep the Assignees
and/or his/her/their nominees, successors in title, assigns

indemnified and harmless altogether with all costs, expenses and


damages in respect of any demand raised against the Assignees by
any person or persons claiming through him/them and the Assignors
undertakes to keep the Assignees and their nominees, successors
in title, safe and harmless altogether with cost and expenses in
respect of any act or omission on the Assignors part whereby the
Assignees is / are prevented in his/her/their right to peaceful
enjoyment of the said premises of the same is disturbed or effected
in any manner whatsoever are infringed.

7. The Assignees hereby acknowledges, accepts and declares to be


bound by the terms and conditions imposed upon the Assignors by
virtue of the said Agreement dated 09/10/2013 between the
Promoter and the Assignors for the said premises which is duly
registered at the office of the Joint Sub Registrar Haveli No. 16,
Pune at Serial No. 8197/2013 on 09/10/2013 and will abide the
same. The Assignees also confirm that he has inspected the said
premises and have no grievance or claim as regards the same
against the Promoter.

8. The Assignee and Assignors has obtained / will obtain a NOC for the

T assignment of the said premises from the said Promoter and the
same is attached herewith. The Parties further undertake to

handover a true copy of these presents to the said Promoter
immediately after registration thereof.

9. The Assignors shall on the execution of these presents/receipt of

full payment deliver all the original title deed, papers and
documents of the said premises to the Assignees/s.

10. All costs, charges and expenses of and incidental to these presents,
including stamp duty and registration charges, shall be borne and
paid by the Assignees.

11. This Agreement shall always be subject to the provisions of the


Maharashtra Ownership Flat Act (Act No. XLV of 1963) and the rules
made thereunder.

12. Stamp duty herein is affixed in the market value/document value


which is more than the market value as adjudicated by the
Registrar of Assurances, Pune.
