MORTGAGE DEED

Hereinafter referred to as “The Mortgagor/Borrower” (which expression shall, unless it be repugnant to the
context or meaning thereof, be deemed to mean and include the successors and assigns) of the ONE PART,

as “the Mortgagee” (which expression shall, unless repugnant to the context or meaning thereof, be deemed
to mean and include its successors and assigns) of the Other Part.

WHEREAS:
Whereas, the MORTGAGORS are absolute owners of or otherwise well and sufficiently entitle developed
N.A plots (list attached at Schedule A ) laying on Servey no. 30 hissa no.1, 2, 3 & 4 Situated at project
, village Shendrun (Bk.) Tal. Shahapur Dist. Thane pin 421601 within the jurisdiction of Sub-Registrar,
Shahapur more particularly described in the SCHEDULE A herein written.

And whereas, the MORTGAGORS have requested the MORTGAGEE to grant a Mortgage Loan of

Rs.10,00,00,000 (Rupees Ten Crore Only) Plot no. ( Schedule A) , for which the MORTGAGEE has agreed

with the mortgagor for mortgaging their property.


NOW THIS DEED WITNESSETH:

THAT in pursuance to the said agreement and in consideration of the sum of Rs. 10,00,00,000 (Rupees Ten

Crore Only) at or before the execution of these presents paid by the Mortgagee to Mortgagor/Borrower,

the Mortgagor/Borrower hereby covenants with the Mortgagee that they will pay the said sum Rs.

10,00,00,000 (Rupees Ten Crore Only) with interest as per the agreement between the

Mortgagor/Borrower and Mortgagee until the said sum is repaid in full.

AND THIS DEED FURTHER WITNESSETH THAT:

1. In consideration of the aforesaid, the mortgagor does hereby transfer by way of mortgage their

properties described above and more particularly described in the SCHEDULE-A hereunder written

as a security for repayment of the sum with the condition that the Mortgagor, his Successors,

Adnistrators, Attorneys or Assignees shall pay to the Mortgagee, its partners, Directors, Officers,

Representatives, Attorneys or Assignees the said sum of Rs. 10,00,00,000 (Rupees Ten Crore Only)

together with interest, thereon at the rate mentioned in the agreement with the Mortgagor/Borrower,

the said Mortgagee, its Partners, Directors, Officers, Representatives, Attorneys or Assigns shall at

any time thereafter upon the request and at the cost of the Mortgagor, his Successors,

Administrators, Attorneys or Assigns re convey the said properties hereinabove expressed to be

mortgaged unto or to the use of the Mortgagor his Successors, Administrators, Attorney of Assigns

or as it or they shall direct.

2. That the Mortgagor/Borrower shall and will during the subsistence of this security at his own costs

and charges and expenses keep and maintain the said premises hereby mortgaged in good repair

and tenable condition.

3. It is hereby agreed and declared that in case any of the installments of principal or interest payable

under these presents be not satisfied on the dates hereinbefore appointed for the payments of such

installments of principal or interest then the whole amount of principal remaining unpaid together with

interest due shall at once become payable to the Mortgagee, and the company may forthwith enforce

at once any of the remedies to which a holder of a simple mortgage is entitled under the Transfer of

Property Act and The Securitization and Re-construction of Financial Assets and Enforcement of

Security Interest Act, 2002 and other Laws in the force.

4. That if the Mortgagor/Borrower does not pay the said mortgage amount with interest when the same

shall become due payable under these presents, the Mortgagee shall be entitled to sell the said

properties through any competent court and to realise and receive the said mortgage amount and

interest, out of the sale proceeds of the said properties.

5. That the Mortgagor/Borrower agrees that all sums of money awarded as compensation for any

compulsory acquisition of any portion of the mortgaged property by any Government, Municipal or
Railway or District Board Authority shall be receivable by the Mortgagee directly on behalf of the

Mortgagor and that such money as well as moneys received under and by virtue of any such

insurance as aforesaid shall at the option of the Mortgagee, either be forthwith applied in or towards

substantially rebuilding, re-installing or repairing the said premises or towards the payment of the

principal money, interest and costs for the time being remaining due on the security of these

presents.

6. For the consideration aforesaid and in further pursuance of the said agreement the mortgagor hereby

grants and transfers by way of simple mortgage unto the Mortgagee, all the property described in

the Schedule hereto and all this rights titles and interest in the said premises with the intent that the

said premises hereby mortgaged shall remain and be charged by way of simple mortgage and free

from all encumbrances as security for the repayment to the Mortgagee, of the said principal money,

interest and costs in accordance with the covenants hereinbefore contained.

7. That the Mortgagor/Borrower shall allow the Mortgagee, its officers, Agents and Surveyors at all

reasonable times to enter the said premises and view and examine the state and condition thereof.

8. That the Mortgagor/Borrower shall the keep the said premises insured against fire, lightning,

explosion, earthquake, riot, storm, tempest, flood and other such risks and pay all premia and other

sums payable for such purpose in time and shall on demand deliver to the Mortgagee the policy or

policies of insurance and receipts of payment duly endorsed and assigned in favour of the

Mortgagee.

9. Provided always that the Mortgagor/Borrower may at any time after giving the Mortgagee, Ninety

days notice pay the Mortgagee, the whole of the principal sum and interest and costs that may be

due to the Mortgagee.

AND IT IS HEREBY AGREED AND DECLARED:

That if the Mortgagor/Borrowers does not pay the said mortgage amount with interest when the same shall

become due payable under these presents, the Mortgagee shall be entitled to sell the said properties through

any competent court and to realise and receive the said mortgage amount and interest, out of the sale

proceeds of the said properties.

And it is further agreed by the Mortgagor/Borrower that it shall bear stamp duty, registration charges and other

out of pocket expenses for the execution and registration of this deed and release of this morgatge deed.
