1.2 Type of Business:


“Terabyte Company” is a brand name which is registered according to Bangladeshi Business
act and world technology association which produce surgical memory card for human brain and
other tangible products such as diabetic measurement machine and other some special types of
machine which is used for diagnosis of human diseases. We will introduce new brand to our
customer.

1.3 Management:
“Terabyte company” is led by Dr. WILLIAM JRSP who has 5 years experiences in creating
Brand and has an MSC degree in software engineering as well as he has completed Ph. D. in
“addition of memory in human brain”. The rest of the executive members have 4years of
experiences in competitive sales, marketing, finance and operations, including specific
experience in retail marketing. Most of them have MSC in computer science.

1.4 Product and Competition:


The specific product of our company is surgical memory card which can be adjusted with
human brain to increase the memory capacity of human. We have no competitors all over the
world because it is an innovative product. Only our company can produce first-time this type of
memory card which can be attuned with human brain through operation of brain by
neurosurgeon.

1.5 Funds Requested:


The cash capital of our company is 300000000/= in which 200000000/= is our own capital and
100000000/= has been collected through IPO in market.

1.6 Use of Proceeds:


60000000/= for the purchase of computers, office equipment, decoration of storage,
140000000/= for production and marketing, 30000000/= for finance, 20000000/= for
advertisement and 50000000/= for others.
We are currently seeking additional funding from outside angel investors and business loans.
Start-up funds will be used for renovations, inventory and operating expenses such as rent,

utilities and payroll. Further, our initial investment will also be used to purchase retail equipment
and inventory software - all of which will produce future benefits for the company.

2.1 Background & purpose:


We are some friends Jubal Ahmed Abdul Muhim, Pankaj Das Rahi mirja, Farhana Khanom,
whose educational background are MBA from North South University. First of all we have thought to

open a company. We are related with some own business. Now we are thinking to do something
new. So, all of us have started to think about what business should we do? After market analysis
we have reached in a decision that we should start such a company or business which will
produce something new which is not available in the market .Because in an innovative product
any body will not be able to compete with us. After that we have started Terabyte Company in
1stJanuary’ 2010.

2.2 Current Situation


Terabyte company’s products are highly expensive and main product is surgical memory card of
human brain. Since it is very expensive, so a few people has bought it and replaced it in there
brain successfully. Other products are not very expensive as why many pieces have been sold
and we have earned a big amount of profit. We would like to maintain better relationship with
our suppliers and agents to improve our popularity within the national boundary as well as world
wide.

2.3 Objectives:
In our company there has both short term and long term objectives:

2.3.1 Short term objective:


The short term 1 year goal of “Terabyte Company” is as follows.
Our short term objective is to make popularity of our surgical memory card in the developed
countries within one year. By which we will try to fulfill our target & to achieve a strong market
share and also try to convince our targeted countries & make an orientation of us as well as our
company.

2.3.2 Long term objective:


The long term 5-10 years goal of “Terabyte Company” are as follows:
When we will succeed to achieve our short term objective successfully & we will earn huge
amount of profit then our long term objective will be that we will make available our surgical
memory card in all over the world by increasing our agents. Using the knowledge and gained
skills from its concept and marketing tests the previous year. We will try to make available our
customer by providing various facilities, so that customer can easily get surgical memory card.

3.1 Overall Market:


Our product is an innovative product. We are following the market in order to any body cannot
copy it. Because we will achieve competitive advantage as well as sustainable competitive
advantage as long as our product is hard to copy and rare. Some companies are trying to make

and produce this type of memory card and are trying to capture our market. This is why we are
trying to keep secret our strategy or technique of making memory card. Now inflation is
available all over the world. So our market position is not very good. Besides this so many
people don’t know about it. So we are promoting our business through advertisement. We are
trying to avoid our overall weakness.
We are applying our marketing strategy to reach in our goals. From the analysis we also find
some weakness of these leading company. We try to avoid these weakness which will our
weapon for our surviving.

3.2 Specific Market :


“Terabyte Company” produces such type of memory card specially for the people of financially
strong countries because there buying capability is higher then others. They have huge foreign
currency. From the market survey we find 65% university students are loyal to replace surgical
memory card to increase memory power of their brain. But for college or school level students,
only 35% are eager. For general people, report of our survey is that only a few people are loyal
to replace surgical memory card to increase their memory power. Because they don’t require
extra memory. But we are trying to increase the ratio of it in general people.

3.3 Competitive advantages


Terabyte Company has major advantages over its competition.
 The owner is working in the company as a strong representative, selling to stores in the
region or country, watching how each manages their business, knowing their missed
opportunities. Below details our point of difference.
 The business will use the Retail Pro software system, which performs inventory control,
point of sale, sales reports & analysis, employee & customer record maintenance.

 We will have a detailed record on each customer, logging her purchases capacity, size,
etc., for customer follow-up and promotional purposes.

 We will launch our business with an aggressive advertising and promotional program
reaching the Tri-county area.

 Our location is central to our target market.

The owner has excellent computer skills, a strong background in inventory management and
customer service.

Demographic: In demographic condition we try to attract all rich people whom ages are 15-
25. Before produce the product we have to consider some factor. Our products are designed
based on income and buying capability of these people.

Social: There is no religious affect to our products and we ensure to maintain everything which is
acceptable by all classes of people.

Technology: In this phase we have to see the technological factor. Is our product is developed
or not considering technological factor? To develop our product we adopt some technical factors.
This company is known for keeping their products current, adding new features when applicable.

Economic: Bangladesh is a developing country and its economy always unstable because of
political condition, higher inflation rate and many others. When economy in a boom position
then will try so sale large amount of products and will employ additional employees and when
economy in recession then we try to sold minimum amount of products which may decrease our
loses. In the world wide perspective will try so sale large amount of product in all time.

As our company grows and earns a positive reputation, several opportunities will open to us.
And we are considering some options already. We will develop and grow our company by

increasing existing products lines and expanding our selection to include additional products.
Within five years, we will assess the potential for franchising our agent in selected locations and
countries.
Additionally, as we build our business, we plan to simultaneously develop an online Terabyte
Company. The power and ease of an online storefront is obvious to us, and we plan to develop
one quickly and efficiently

4.1 Production process:


We are currently working with several countries agent, distributors and others to assemble our
inventory. We are also working with country economic-development officials to secure all
required permeation and occupational licensees. Prior to the grand opening of products, we will
schedule an event with the Chamber of Commerce and commence with pre-publicity flyers,
advertising and additional marketing activities.

4.2 Resource requirement:


We need following equipments-

 We will select experienced sales representative.


 We require some talent people who have experiences in computer, software as well as
hardware engineering.
 We require some computer equipment.
 We require some neurosurgeon who will adjust this memory card with human being.
 Good managing staff also required.
 A good geographical location in another country to expand our business geographically.
 A surgical robot which will setup this memory card in human brain.

4.3 Quality assurance:


We will ensure quality by carefully selecting distributor, and agency. We will choose only that
type of distributor who has consistency to deliver excellent products to the targeted agents. We
will diligent monitor the products supplier, delivery, and randomly test them to confirm that, we
will identify products on the basis of attractiveness and other feature will be considered to select
products.

 We will ensure that our surgical memory card is attractive and rare.
 We will make sure to produce by using new technologies.
 We will ensure hard to copy characteristics of our products.
 We will ensure non substitutable characteristics of our products.

5.1 Overall Concept and Orientation:

Our Terabyte Company consider overall market situation and take necessary actions. We
ensure goods quality particulary influances there purchase intention.our company will appeal to
this attitude withhigh impact and sponsorship of various event.

5.2 Marketing Strategy :


We both have strong marketing backgrounds and recognize the significance of effective
marketing. We expect our strategy to draw consumers into Terabyte Company. Moreover we
will hire a local PR firm to help us develop and implement a strategic marketing plan and guide
our publicity efforts in a cost-effective manner. Student generation who are very much interested
with surgical mamory card are in their prime and at their best.

Our goal is to keep our marketing budget to no more than 20% of our gross annual sales. We
already have connections in all the necessary places. These strategic connections will allow us to
piggyback on publicity for national and international events, as long as they are within our
targeted demographic. Terabyte Company will rely heavily on local print and broadcast media
coverage, traditional advertising. A significant portion of our advertising budget will be allocated
to print and Cable network. Low cost publicity activities will also be taken advantage of such as
posting sale flyers on community bulletin boards and online.

Finally, marketing opportunities will be continually utilized as we expand our business and our
consumer numbers grow.

Product Description
 Surgical memory card are the main focus, comprising 80% of our merchandise.
 We will stock free sizes, such as terabyte, gigabyte, megabyte and special ordering other
sizes.
 Knowing that the most popular sizes for specialty fitting, we will have the largest variety
of memory capacity, systems and price points in these sizes.

 Prices will range from 20 lack to 1 crore.

 For the next ten year we expect an average growth of 50% from this category, primarily
from developing our business and taking a larger share of the market with the addition of
mastectomy products.

Diabetic Machines
 Diabetic machines will be 5% of the inventory.
 Machines Sizes ranging from Small to XXL, with a price range from TK. 5000 to
TK.15000.

 We expect to see a great deal of growth, with the increase of our Bangladeshi and
Foreign customer base.

Pressure Machines
 Pressure machines will comprise 3.5% of the merchandise.
 Prices will range from TK. 4000 to TK. 25000

 We expect to see an average of 10% growth of this category, through high capacity,
quality and loyal customer referral, as well as our expansion of assortment in the next few
years.

ECG Machine
 ECG machine will comprise also3.5% of our store's merchandise.
 Price points range from TK.80000/- to TK250000. A wide price range is due to the
seasonal aspect of ECG machine and a higher price point for seasonal diseases.

Endoscope Machine
 Will make up less than 3% of the store's inventory.
 Prices will range from TK.85000 to TK.350000.

Advertising:
We use some electronics and printing media for promoting our product.

 Print media: We published some informative advertise in some national newspaper


Not only in national newspaper, but also in some international paper, articles are used
for ad. We have published some leaflet & poster for promoting our product marketing.

 Electronic media: Now a day’s most of the people browsing Internet, using face book,
e-mail etc. So we also use these kinds of electronic media for advertisement of our
innovative company.

 Cable Ad: Not only these but also we used National and International satellite channels
to attract the all kind of people.

7.3 Financial Strategy:
After the final instalment of funds from its investors, ““Plum Garden”” will be able to fund all
necessary expendatures out of cash flow from operations. at the ends of its three years of full
operations, hussain will tender an innitial public offering at that time, we will examine ways to
use that money to hell “Plum Garden” grow, such as achiving economics of scale.

ORGANIZATION AND MANAGEMENT

In our company there have five investors. All are performing as the director of the company. All
of the directors are very much qualified and have a good skill in the field of managing this type
of business. They are trained by different management skill improving academy. By the role of
the private company act every year the managing director will be elected by election. We divide
our responsibilities within different ranks. Among all of us- Md. Jubal Ahmed (MD) is
responsible for maintaining all the accounts of the company & also takes decision about various
matters after consulting with others. Farhana Khanom acts as a representative. Her responsibility
is to convince the customers to purchases our special products. She also involved in directing the
workers who will make the products. Md. Abdul Muhim involve in finance department. He
maintains all financial activities indoor and outdoor of all departments. Rahi Mirja and Ponkaj
Das look marketing activities. Thy involved in dealing with several / different parties or agents
and all other outdoor activities though all of we help them.

8.1 Human resource management strategy :

In our Company there have large number of employee. We have taken some employees from
foreign country; those are responsible for different work. One of them maintains and look after
the field work, another one maintain communication with all department, as well as raw
materials supplier and other outdoor work. Some one maintains communication with directors
and collects money if necessary, and some time we hire some labor for any specific work. They
are not fulltime worker of our firm.
However, we feel the labor pool is such that finding qualified employees will not be an issue.
Our sales associates will be paid weakly wage, plus commission. Bonuses will be provided with
each year of service following an annual review to encourage employee retention.

OWNERSHIP

9.1 Forms of business:


Our company is build by the limited liability and is backed by company act 1994. Each and
Every partner get dividend and will take the liability of both losses and responsibility on the
basis of our share. And the profit and loss will be distributed after paying the tax. There have no
restriction to by a minimum number of shares. In our company there have six investors and each
of them bought same amount of share.

9.2 Equity Position:


We began our business with 83,334 shares. Each share price is 1200 taka. Our entire owner
bought minimum 25000 shares.

9.3 Deal Structure:


There have 83,334 shares and each share price is Tk.1200. So selling this shares company earned
Tk.10,00,00,000. From that in the very beginning company invested Tk10,00,00,000 which is
collected through IPO. Each and every member will carry responsibility on the basis of there
investment in any situation.

2. In every month there will be two/three general meetings.
3. All members are bound to attend those meeting.

CRITICAL RISK AND CONTINGENCY

Any new business venture poses significant risks to investors. There can be no guarantee that
investors will receive the principal they have invested. Here are some of the larger risks that
will face our company.

 Failure to meet production deadlines :

If products are not produced or shipped quickly enough, ““Terabyte Company”” miss the
good selling when products are requested by the customers. For that reason customer can
comeback from our company and they can feel bother without finding their preferred
products. This would give competitors a greater chance to imitate “Terabyte Company’s
plans and build the awareness of there company.

 Inability to convince customers to carry the product:

Our company introduce different qualities product, only a small fraction of which succeed.
“Terabyte Company” will have to persuade customers to haul an unproven product from a
new producer. As mentioned earlier, “Our Company” will do several things to persuade
customers to carry its products. “Terabyte Company” will offer its customers to provide
products on competitive lower cost.

 Management is unproven :

This is the first entrepreneurial brand producer Terabyte Company managers will have
launched. There will be setback and challenges that may surprise “Terabyte Company’s
founders. Company founders may be at a disadvantage with potential distributors and
customers because of their inexperience.

Terabyte Company believes that if its owners follow marketing strategy properly than it will
reach total market leader within few years. Our product is an innovative product. So to make it
successful, too much patience is required. Immediate success is not possible in an innovative
product. We are giving our best effort to reach in our goal. Analyzing the performance of last
few months, we see that we are near to achieve the success. So we are optimist that we will be
successful overcoming all of the barriers, internal and external challenges.
