WRITTEN STATEMENT OF TERMS AND CONDITIONS OF EMPLOYMENT

This document sets out your main terms and conditions of employment with the Company as
follows:

Name and Address of Employer: B.D.L Xtreme Limited registered at 58 New Bedford Road, Luton,
United Kingdom, LU1 1SH.

1. Date of Commencement
Your employment with name of franchisee commenced on 09.11.2020 and your period of
continuous employment with name of franchisee commenced on Date.

2. Probationary Period
This appointment is subject to successful completion of a 3-month probationary period. The
probation period may be extended by the Company for better assessment of your performance. The
Company's disciplinary procedure shall not apply during the probationary period.

3. Job Title
The Company shall employ you in the capacity of Job Title. In addition to the duties that this job
normally entails you may from time to time be required to undertake additional or other duties as
necessary to meet the needs of the Company business.

4. Place of Work
Your normal place of work will be KNOWHOW Site at AYLESBURY HP225BL. However, you may be
required to work at such other locations as the Company may reasonably require.

5. Remuneration

Your basic rate of pay will be £110per day and you will be paid four weekly in arrears by BACS to a
bank or building society account of your choice.

A discretionary bonus of £10 a day is also payable four weekly for work finished on time and without
any damage claims.

Your salary may be reviewed annually. A salary review does not however guarantee that any
increase to salary will be implemented as any increases to salary are entirely at the Company’s
discretion.

6. Hours of Work
The Company works 7 days a week throughout the year, except for a small number of holidays that
are specified in advance. Therefore, your hours will be worked on any day of the week according to a
rota system. Hours of work will be rostered as far in advance as possible.

As the amount of work on any particular day is variable, there are no normal hours of work. Unless
otherwise specified, your normal start time day each day is 6.00am and your normal finishing time is

when the day’s tasks assigned to you have been satisfactorily completed. You will be required to take
rest breaks in line with Working Time and Tachograph regulations.

Our aim will be to provide you with 20 days’ work per 4-week period.

The nature of your duties requires flexible working; the Company reserves the right to reduce your
days of work per 4-week period in line with business demands as well. You are expected occasionally
to work rest days as are reasonably necessary to meet the needs of the business. You will be paid for
these extra days at the end of each 4 weekly pay period at your basic rate of pay.

7. Pension
The Company operates an auto enrolment scheme compliant with government legislation. If eligible,
we will auto-enrol you into a pension scheme, in accordance with our pension’s auto-enrolment
obligations.

Full details of the scheme will be given to you when you are enrolled, including the minimum level of
contributions that you will be required to make during your membership and you’re right to opt out
if you do not want to be a member of the scheme. While participating in the scheme, you agree to
worker pension contributions being deducted from your salary.

Membership of the scheme is subject to its rules as may be amended from time to time, and the
Company may replace the scheme with another pension scheme at any time. A contracting-out
certificate does not apply in respect of the scheme.

If you cease to be a member of the scheme for any reason, the Company will re-enroll you
automatically into a pension scheme as and when required by law.

8. Holidays
The Company’s holiday year runs from 1 May to 30 April. In addition to the 8 normal public holidays
you are entitled to 20 normal working days as holiday in each holiday year at your normal basic rate
of pay, making a total of 28 days. If your contracted hours are less than 40 per week then your
holiday and bank holiday entitlement will be pro-rated accordingly

No holidays can be taken during the peak months of December and January. A maximum of 10 days
holiday can be taken at any one time.

Holiday requests for the period 1 May to 1 November must be submitted for approval within the
booking period 1-15 May. If requests are not received within this time then holiday dates will be
allocated to employees as workload dictates. All holiday requests are subject to operational
requirements and the need to maintain reasonable staffing levels.

Holidays for the period 31 January to 30 April need to be submitted for approval within the booking
period 1-14 February by using the holiday request form and will be granted on a “first come first served
basis”. Holidays must be approved in advance by one of the Directors and you should not book holiday
arrangements prior to receiving approval. The Company reserves the right to limit the number of
employees who take holiday at any one time.

Unused holiday entitlement may not be carried forward to the next holiday year. You will not be
entitled to payment in lieu of any unused holiday other than on the termination of your employment
from either party.

If your employment commences or terminates part of the way through the holiday year, your
entitlement to holidays during that year will be calculated on a pro rata basis. Deductions from final
salary due to you on termination of employment will be made in respect of any holidays taken in
excess of entitlement.

During your first year of employment, your holiday entitlement will accrue monthly in advance at the
rate of one twelfth of the annual entitlement.

9. Training
You are required to attend 1-day on-site training at the commencement of your employment. This
training will be unpaid, but you will be paid a day rate to cover your expenses.

10. DBS Basic Check

It is necessary for the Company to obtain a basic disclosure check on commencement of


employment and at regular intervals during your employment through the Disclosure Barring
Service. The Company will conduct regular interval checks on a rolling three-year period.

It is a condition of your employment that you notify your Line Manager as soon as possible; if whilst
employed with the Company you are issued with a warning, caution, charged and/or convicted of a
criminal offence. By signing the contract of employment, you agree to co-operate fully with this
process. Failure to comply with this requirement will be viewed very seriously and treated as Gross
Misconduct, which is likely to result in disciplinary action, which could lead to dismissal.

The Company will cover the cost of these checks but if you leave the Company before you have
completed 1 years’ service, the Company reserves the right to deduct £50 from your final pay to cover
these costs.

11. Sickness
If you cannot attend work through illness or injury you must personally inform your Line Manager as
soon as is possible (by telephone, not text) preferably the day before you are due to work and at the
latest one hour before your start time on the day in question. You must also notify the Company of
the date you will be returning to work in order for you to be rostered. If you do not do this and turn
up for work without having notified the Company beforehand, you will not be paid.

If you are absent for up to seven days (inclusive of Saturdays and Sundays) you must complete a self-
certification form upon your return to work. After seven days, you must provide a medical certificate
from your Doctor. Continued absence must similarly be covered by medical certificates from your
doctor. You will not be entitled to payment if your absence is unauthorised or you have not complied
with the above procedure.

Your entitlement to payment during sickness absence is limited to your entitlement under the
statutory sick pay scheme (SSP).

The Company reserves the right to require you to undertake a medical examination at its expense and
to obtain information from your own doctor in relation to any absence from work.

In the case of unauthorised absence where you are absent without notifying your line manager of your
intended absence the Company reserves the right to deduct the whole of your bonus for that period.

12. Standards of Dress and Appearance


You are expected to maintain appropriate standards of dress and appearance to ensure that the
Company’s professional image and reputation are maintained. You are always required to wear any
uniform and personal protective clothing provided for your use during your employment.

13. Use of Tools and Equipment


You are required to use suitable tools and equipment that are always provided for your use. You may
choose to provide these yourself or they will be provided by the Company. They will be inspected
periodically, and you will be responsible for reimbursing the Company for any loss or damage to
Company tools. This includes Satellite Navigations devices for use in Company vehicles.

14. Company Vehicles


On appointment you may be required to drive a Company vehicle or vehicles for the performance of
your duties. The choice of vehicle will be determined by the Company.

You are therefore required to hold a full valid driving licence appropriate for the vehicle you drive and
to notify the Company of any accidents and driving offences. You are also required to present your
licence to the Company every 3 months for visual inspection. If you lose your licence or if at any time
our insurers exclude you from our insurance policy, this will render you liable to dismissal.

15. Accidents
If you are responsible for an accident or damage to the Company vehicle or customer’s property you
must notify the Director immediately. You may be required to pay for the repairs or the cost of any
insurance excess and increase in insurance premium that arises following a claim.

16. Motoring Offences


The Company will not be liable for paying the charges from speeding offences, parking infringements
or fines.

17. Maintenance and Security of Company Vehicles


You agree to keep the vehicle in a clean and tidy manner and not smoke in it or allow anyone else to
smoke in it. You must also ensure that the vehicle is properly secured and maintained at all times by
carrying out daily checks. You agree to abide by the Company’s Use of Company Vehicles policy which
is contained in the employee handbook.

The Company vehicle is provided for business use only. You must return the vehicle in the same
condition as it was received and its keys to the Company immediately upon termination of
employment.

18. Unnecessary Failures of Installations
Any driver installer operative who fails to complete a delivery installation without justifiable reason
agreed by the Franchisee will be subject to Disciplinary Action.

19. PDA
In this appointment a Company PDA is allocated to you for business use. If using the phone in a vehicle,
you must always ensure that you are doing so both legally and safely. Personal calls are not allowed
to be made from this phone. The PDA must be returned to the office at the end of each day and upon
termination of employment. You are required to use the PDA allocated to all day whilst you are
undertaking your duties and complete your day’s route on the PDA.

20. Equal Opportunities


The Company is an equal opportunities employer. Our policy is to ensure that all employees are
treated with the same respect and consideration irrespective of age, disability, gender reassignment,
marriage and civil partnership, pregnancy and maternity, race, religion or belief, sex or sexual
orientation. You must act in accordance with this policy at all times and should you consider that you
are being subject to discrimination on any of the above grounds you should raise the issue through
the grievance procedure.

21. Notice of Termination


Notice to terminate employment either by you or the Company must be given in writing. Both you
and the Company must provide one week’s notice during the probationary period. After successful
completion of the probationary period you must provide one month’s notice. After three month’s
service the Company will provide one week’s notice for each complete year of service up to a
maximum of 12 weeks’ notice.

The Company reserves the right to make a payment of basic salary in lieu of notice.

On termination of your employment you undertake to return to the Company all such documents,
letters or information or copies thereof which may be in your possession or control which relate to
the business or affairs of the Company or the business and affairs of the Company’s customers and/or
suppliers.

Your employment may be terminated by the Company without notice or payment in lieu of notice if:

- You are guilty of gross misconduct (a non-exhaustive list of acts of gross misconduct is
contained in the Company Handbook) or gross negligence; or
- You cease to be eligible to work in the UK.

22. Non-competition
You undertake that you will devote your whole time, skill and attention during working hours to your
work for the Company. You must not engage in any other work outside working hours, paid or unpaid,
without prior written permission of the Company. You shall not at any time engage in any activities
which are of such a nature as are likely to prevent you from performing your duties under this
Agreement, or are likely to impair performance of such duties.

At all times during your employment you shall use your best endeavours to promote and protect the
interests of the Company and the Third Parties the Company provides services to and shall faithfully
and diligently perform such duties and exercise such powers as may from time to time be assigned to
or vested in you and shall not do anything that is harmful to the Company.

23. Temporary Lay Off


The Company reserves the right to lay you off or place you on short term working or a mixture of lay-
off and short-time working for either the whole or part of the period of the shortage of work should
it be necessary to do so. In the event that you are laid off due to a temporary cessation of work,
your entitlement to pay during that period of layoff will cease.

For these purposes lay-off means that you are given no work and therefore receive no pay in a working
week; and short-time working means that you are given less work than normal in a working week
resulting in you receiving less than your normal pay.

If you are laid off work you will be given the statutory notice period.

24. Third Parties


The Company provides services mainly to Dixons Retail plc and your duties involve working within
their business. It is a term of agreement between the Company and Dixons Retail plc has the right to
approve or disapprove the employment or continued employment of the Company’s staff. If Dixons
Retail plc disapproves of the continued employment of an employee, subject to the undertaking of
the Disciplinary Procedure, this may result in the dismissal of the employee.

25. Deductions
You consent to any deductions from any sum otherwise payable to you, the value of any claim the
Company may have against you including but not limited to:

§ Overpayment of salary
§ Sums representing holiday taken in excess of entitlement
§ Salary paid to you for unauthorised absence
§ Overpayment of expenses
§ CPC Training if the employee leaves before 2 years has elapsed.
§ Failure to provide the required notice period – the value of pay for that notice period
§ Motoring fines and offences incurred by you for a Company vehicle
§ Repayment of the value of any loss, where the Company has sustained loss due to your
negligence, recklessness, dishonesty or breach of Company rules

26. Company Property


The Company reserves the right to require you to repay to the Company by deduction from salary or
other acceptable method any losses sustained in relation to the property or monies of the Company
during the course of your employment belonging to the Company, either through misuse or
carelessness, we reserve the right to make a deduction from your pay in respect of the costs incurred
to replace or repair the damaged equipment.

27. Damage to Customers Property
Upon the Company being charged for damage to a customer’s property following a delivery or
installation by yourself the Company reserves the right at their discretion to deduct the costs from
your salary.

In the event of such sums being due to the Company on the termination of your employment and if
your final salary payment is insufficient to allow for the whole of any such deduction, you will be
required to repay the outstanding amount due to the Company within one month of the date of
termination of your employment

28. Collective Agreements


Your terms and conditions are not affected by any collective agreements

29. Waste Electrical and Electronic Equipment (WEEE)


It is a requirement of your employment that at the end of each working day you return all WEEE
collected from customers’ properties back to site.

You are advised that, If following completion of a Customer Service and W.E.E.E Audit any
discrepancy in the number of W.E.E.E returned is identified this will result in a Disciplinary
Investigation being undertaken and is likely to result in Disciplinary action being taken against you.

For avoidance of doubt, the unauthorised removal of WEEE items from the CSC or not returning any
WEEE items to the HDC will be considered as theft of Company property and will result in
disciplinary action being taken against you.

30. Disciplinary Policy and Procedure


The Company expects you to conform to its standards of conduct and performance. These are
explained in the Company’s Disciplinary Policy and Procedure.

If you are dissatisfied with a disciplinary decision you should appeal in writing to the Director. For
further details of the procedure and appeals, you should refer to the Company’s Disciplinary Policy
and Procedure. This does not form part of your contract and may vary from time to time.

31. Grievance Procedure


If you have any grievance relating to your employment you should, in the first instance, raise it
informally with the Director. If you are not satisfied with the response, you should put it in writing, in
accordance with the Company’s Grievance Policy and Procedure.

This does not form part of your contract and may vary from time to time.

32. Data Protection


Your Data will be managed in accordance with the General Data Protection Regulation (GDPR),
effective in the UK from 25 May 2018. Please refer to the Employee Privacy Notice and the Data
Retention Policy for further information.

33. Confidentiality
You will not disclose to any person, either during your employment or after it has ended for whatever
reason, or use for any purpose whatsoever, any information of a confidential nature relating to the
business affairs, finances or trade secrets of the Company. This includes information about its
customers, suppliers, or employees.

34. Employment outside of the Company


You must not work for any other organisation or engage in any other employment or business without
the prior approval of the Company’s Directors.

35. Health & Safety


The Company takes all reasonably practical steps to ensure your health, safety and welfare at work.
You must familiarise yourself with the Company’s Health & Safety policy and procedures in relation to
health and safety at work and in the event of fire. You must comply with these procedures at all times.
It is also your legal duty to take care of your own health and safety and that of your colleagues,
customers and visitors. A copy of the Company health and safety policy has been given to you and
updates will be provided and displayed on Company notice boards.

You are required to wear any personal protective equipment, such as steel capped boots, high visibility
vests etc. provided for your use at all times during your employment.

36. Drugs and Alcohol


Employees who are found to be unfit due to having consumed alcohol or illegal drugs or other harmful
substances whilst at work or representing the Company will be liable to disciplinary action and may
be dismissed.

At any time while on duty, you will provide on request by an authorised representative from the site,
a specimen of breath and/or swab test for the purpose of screening for alcohol and prohibited drugs.
Any failure to comply will be a disciplinary offence, which will normally result in dismissal. The signing
of your contract constitutes your consent to details of the result of any screening referred to above
being passed to the Company by any authorised person.

37. Return of Company property


You shall promptly whenever requested by the Company and upon termination of your employment
deliver up to the Company all lists of clients or customers, correspondence and all other documents,
records, papers and other property which may have been prepared for you or come into your
possession, custody or control in the course of your employment and you shall not be entitled to and
shall not retain any copies of them.

In addition you will be required to surrender your Drivers Smart Card for Final reading, failure to do
so will result in late payment of your final pay by up to 30 days.

38. Right of search


The Company reserves the right to conduct searches during your working hours or when you are
leaving the premises. This may be a search of your person, lockers, clothing, property, personal effects

or vehicle. Searches may be conducted on a routine, random or selective basis. You agree to allow
the search procedure to be carried out if required.

39. CPC Training


It is a legal requirement for all drivers of 7.5-ton vehicles to hold a DQC card which is issued after
completing a CPC qualification (Certificate of Professional Competency).

The Company will fund the training required but should you leave the Company within 1 year
of obtaining the qualification you may be required to repay some or all of the cost dependent
on your length of service.

Failure to obtain this qualification within the required timescale may lead to your driver’s card
being rescinded in which case your employment may be terminated.

40. Changes to Terms and Conditions


The Company reserves the right to make reasonable changes to your terms and conditions of
employment after consultation and reasonable notice. These will be confirmed to you in writing
within one month of the change.

41. Declaration
I have read, understood and accept the terms and conditions of employment as stated in this
document and the policies referred to within it.

I accept that if I have obtained employment on the basis of providing false information I render myself
liable to dismissal for gross misconduct.

I accept that the terms and conditions contained in this written statement replace in their entirety all
existing terms and conditions, agreement and arrangements whether in writing or otherwise.
