encumbrances and third-party interest. The business service provider desires to receive the sum of Amount(
$29,000,000,000,000,000.00 (TWENTY-NINE QUADRILLION U.S DOLLARS) Only with Rolls and Extension for
investment and project funding purposes via DTC into their bank account and confirm with full corporate and legal
responsibility and authority to enter into this Agreement.
WHEREAS, the business service provider represents and warrants that he has with full corporate responsibility
permission to enter into this Agreement. He hereby declares that when the funds provider confirms to the co-ordinates
of the business service provider account, that’s when the funds are transferred, these will be are free and clear of all
liens, encumbrances and third-party interest.
WHEREAS, the business service provider warrants and acknowledge at any given time these funds belong to the fund’s
provider.
WHEREAS, the business service provider warrants and guarantees that he is to become a trustee on behalf of the fund’s
provider; where any transaction pertaining and relating to these funds is always in the sole discretion of the fund’s
provider.
WHEREAS, all decisions must be communicated in writing and sent through their respective email or be exchanged face

to face. Both pares will sign the present agreement which thereby atomically becomes a full commercial recourse
contract.
PROCEDURES:
1. THE FUNDS OWNER AND THE PARTNER EXECUTE, SIGN WITH WET BLUE INK AND SEAL THIS AGREEMENT WITH
DISTRIBUTION OF RECEIVED CASH FUNDS BETWEEN THE PARTICIPANTS OF PROJECT INVESTMENTS WHICH THEREBY
AUTOMATICALLY BECOMES A FULL COMMERCIAL RECOURSE CONTRACT.
2. THE DOWNLOAD MUST BE INITIATED WITHIN 7 DAYS AFTER THE CONTRACT SIGNING. FAILURE TO COMPLY WILL
CAUSE THIS CONTRACT TO BE NULL AND VOID WITHOUT THE NEED FOR CEASE AND DESIST LETTER FROM THE SENDER.
NO CLAIM CAN BE MADE BY EITHER PARTY.
3. THE FUNDS OWNER IS OBLIGATED TO PROVIDE THE PARTNER WITH THE NECESSARY DETAILS (ACCOUNT, BENEFICIARY
CODES, PASSWORD, AND ID CODE, RELEASE CODE, FINAL CODE, CLOSING CODE, ETC) AS PER EXHIBIT B
LUE INK AND SEAL THIS AGREEMENT WITH DISTRIBUTION OF RECEIVED CASH FUNDS BETWEEN THE
PARTICIPANTS OF PROJECT INVESTMENTS WHICH THEREBY AUTOMATICALLY BECOMES A FULL
COMMERCIAL RECOURSE CONTRACT.

(ACCOUNT, BENEFICIARY CODES, PASSWORD, AND ID CODE, RELEASE CODE, FINAL CODE, CLOSING
CODE, ETC) AS PER EXHIBIT BIN ORDER FOR THE FUNDS TO BE DOWNLOADED TO THE PARTNER'S ACCOUNT
BY PARTY B"S BANKER 4. THE PARTNER IS OBLIGATED TO DELIVER ALL NECESSARY DETAILS OF THE
DOWNLOADING BANK ACCOUNT.
IN ORDER FOR THE FUNDS TO BE DOWNLOADED TO THE PARTNER'S ACCOUNT BY PARTY B"S BANKER
4. THE PARTNER IS OBLIGATED TO DELIVER ALL NECESSARY DETAILS OF THE DOWNLOADING BANK ACCOUNT.
5. PARTNER"S DTC BANK OFFICER STARTS THE DOWNLOAD OF THE FIRST TRANCHE EXACTLY AT THE TIME AND DATE
AGREED UPON AND FIXED IN THE TRANCHE SCHEDULE AND WILL GIVE EVIDENCE OF EACH TRANSFER BY PROVIDING A
SCREENSHOT OR TRANSFER COPY OF THE DOWNLOADED FUNDS TO PARTY A AFTER THE DRAW DOWN OF FUNDS HAS
BEEN DONE.
6. AFTER THE FIRST DOWNLOAD and the receiver sending the Bank endorsed PGL signed by two Bank Officers and
stamped from the email of his Bank Officer to the email address of each Paymaster of the Sender stipulated in the PGL,
only after that MORE DTC TRANCHES WILL BE EXECUTED.
7. PARTNER"S DTC BANK OFFICER HAS THE RESPONSIBILITY TO DOWNLOAD THE OFF-LEDGER FUNDS AND TO TRANSFER
THE MONETIZED AND –THEN PHYSICAL- FUNDS OWNER PORTION IN ACCORDANCE TO THIS AGREEMENT.
8. PARTNER"S BANK OFFICER OF BANK NAME: TBA WILL CREDIT THE AMOUNT DOWNLOADED AND RECEIVED UPON
FULL CLEARANCE OF SAID FUNDS TO THIS ACCOUNT. FIRST MONETIZED CASH AMOUNT WILL BE CREDITED TWO (2) DAYS
AFTER DOWNLOAD. SAME FOR EVERY FOLLOWING TRANCHE.
9. FURTHER TRANCHES AS PER TRANCHE SCHEDULE UNTIL THE TOTAL CONTRACT VALUE IS EXHAUSTED.
10. BOTH PARTIES AGREE THAT IN CASE OF BEING NECESSARY FOR A BETTER PERFORMANCE OF THE OPERATIONS
HEREBY AGREED, PARTY B MAY PROPOSE AND PARTY A AUTHORIZES CHANGES OR SUBSTITUTIONS.
11. THE PARTIES HEREBY AGREE THAT ALL COMMUNICATION AND/OR ANY NOTIFICATION REGARDING ANY MATTER OF
THIS AGREEMENT, INCLUDING DATES, SCHEDULES OF EVERY PRESET OR PERFORMED TRANSACTION SHOULD BE
REQUESTED BY MS. LIU JUN, PROPER WRITTEN NOTICE WITHIN TWENTY-FOUR (24) HOURS, PROVIDING HIM WITH THE
CODES NEDEED TO PERFORM THE TRANSACTION OR TRANCHES, SAID NOTICE SHOULD BE VIA E-MAIL ADDRESSED TO:
XXX, CONSIDERING HERETO THIS E-MAIL AS THE ONLY VALID NOTIFICATION.

13. SPECIAL PROVISIONS.

01. Taxes: each party, individually and separately, shall bear responsibility and accepts liability for applicable
payments of any tax, imposts, levies, and dudes of charges that may be found applicable during the

fulfillment of their respective obligations under this agreement.
02. Assignment: none of the party shall assign or transfer their rights or duties in this agreement without the
expressed written consent by the other party. Any transfer or assignment made without such consent shall
not relieve the transferor or assignor of their duties or obligations pursuant to this agreement, and the
assignment and transfer shall be considered null and void.
03. Incentives: the parts to this agreement hereby state and declare that each party is free from any undue
influence, coercion or misrepresentation of any kind, and has voluntarily entered into this agreement.
14. CONFIDENTIALITY, NON-CIRCUMVENTION & NON-DISCLOSURE.
01. The parts undertake that they will not at any time divulge or communicate to any person, except to their
professional advisors or as may be required by law, any confidential information concerning the contents of
this agreement.
02. Non-circumvention & non-disclosure provisions according to the International Chamber of Commerce,
Paris, France, documents ICC latest revision shall be deemed to be incorporated & formed an integral part of
this agreement.
15. FORCE MAJEURE.
01. The parts hereto shall not be liable for any failure to perform due to acts of god or civil riots as defined
under the force majeure clauses as stated in the standard ICC (International Chamber of Commerce, Paris,
France) rulings, and which are deemed to be incorporated herein.
02. Each party hereto shall be obliged to immediately inform the other party about the beginning, probable
duration and cessation of the force majeure circumstances. The non-information about the force majeure
circumstances shall cancel the right of either party hereto to make reference to it.
03. The fulfillment term of the contractual obligations of respecting party shall accordingly be postponed for
the period during which such force majeure circumstances apply.
16. GENERAL PROVISIONS.
01. This agreement contains the entre understanding of the parts, with respect to the subject matter hereof
and shall supersede all prior or contemporaneous representations, warranties, agreements and
understandings, and may not be amended or any provision hereof waived. After signing this agreement, no
oral or written representations, warranties or statements made by the parts or third persons shall have any legal
force and effect if not specifically provided by this agreement.
02. All appendices and addendums duly signed in full by both parts shall be an integral part of this agreement.
03. Any alternations, modifications or amendments or cancellation to this agreement must be made in writing and
signed by both parts.
04. Copies of contract: no copies of this agreement are to be provided to outside parts, other than the parts involved.
This document will only be provided strictly to principals and their intermediary parts involved.
05. Sever-ability: in the event a court, tribunal or arbitrator of competent jurisdiction holds any portion of this
agreement, including amendments or addenda hereto, to be invalid, void or unenforceable, the remaining provisions
of this agreement will nevertheless continue in full force and effect, without being impaired or invalidated in any way.
06. Language: the parts agree that the English language is the governing language when interpreting the
representations, warranties, agreements and understandings of this agreement between the parts. Furthermore, any
notices due shall be made in the English language.

07. EDT- electronic document transmittal & counterparts: this contract may be executed in multiple copies at different
times and places, each being considered an original and binding. All facsimile / electronic transmittal /
communications relating to this transaction and which are mutually accepted by the parts, shall be deemed legally
binding and enforceable documents for the duration of the transaction.
08. The 1999 group of eight-ten key principles for the improvement of international cooperation regarding financial
crime and regulatory abuse are observed.
09. We furthermore declare that, having reviewed all account activity in our bank accounts from the date of its
establishment through the date of this contract, to the best of our belief and knowledge, no special designated
national, blocked person, entity, organization, group of embargoed country/state nation, as defined, and/or
designated, and/or recognized by the government of the Netherlands, Switzerland, the European union, and/or
united nations have ever been a party to, shared in, or derived any benefit directly or indirectly from any of our bank
accounts activity and that all of the funds into and out of the named account did not directly or indirectly derive from
any special designated national, blocked person, entity, organization, group of embargo ed country / state nation, as
defined, and/or designated, and/or recognized by the government of the United States of America, the European
Union, and/or united nations and did not directly or indirectly derive from any national, person, entity, organization,
group and/or country/state/nation that engages in and/or sponsors and/or directs, and/or funds, and/or gives any
aid, comfort, and/or sanctuary or support, in any form and kind, to any national, person, entity organization, group
and/or country/state/nation that designated, and/or recognized by the government of the United States of America,
the European Union, and/or united nations.
17. EXECUTION.
01. A party delivering this agreement by email or facsimile shall also forthwith deliver either by courier or by hand to
the addresses noted above the original of said emailed copy or facsimile, which bears on its face the original signature
of the delivering party. Upon delivery of the original, such shall become the agreement of record.
02. This agreement shall be considered executed and come into legal effect once it has been printed out, signed in full
on each page, by both parts, who warrant that they are legally authorized representatives of their respective (legal)
persons, and in conformity with their respective authorities have the right to sign this agreement.

NO SWIFTS IN THE DTC TRANSACTION. ALL COMMUNICATIONS WILL TAKE PLACE ON THE SERVER SCREENS ONLY UPON
