    STRATEGIC COMMUNICATIONS, MARKETING AND PR PROPOSAL

    Our goal is to help the Client design and create the infrastructure and corresponding processes of
    Forum from a strategic communications standpoint with the intent to effectively communicate its value
    to internal and external stakeholders and customers. If you allow us to work with you, we will provide
    you with the following services:

    SCOPE OF WORK

    Strategic Communications

    ● Help Forum team draft or update strategic plan for Forum and its core offerings
    ● Help Forum manage its advisory board, aligning its efforts to the company’s objectives
    ● Create language around each of the company’s core offerings to be communicated to and by
    various teams within and outside of Forum
    ● Help conduct media training sessions for customer facing teams within Forum (sales team, call
    center, etc.)
    ● Help devise presentations, newsletters, public facing emails and talking points for Forum
    executives and stakeholders

    Marketing/Branding

    ● Work with Client’s team to plan, devise and execute key marketing events such as the Women’s
    Empowerment Roundtable, to include acquisition, booking and management of talent, as well as
    development of materials meant to both help promote (invitations, email blasts, etc.), execute
    (development of talking points, etc.) and moderate event
    ● Work with Client’s team to help write /update content for Forum website
    ● Work with Client’s team to help create marketing items like Forum’s media kits and sales pages
    ● Create corresponding marketing and promotional tools such as blogs and video scripts to help
    drive traffic to the site
    ● Collaborate with Marketing team/sales leads to help facilitate funnel creation

    Public Relations

    ● Serve as public relations lead for Forum


    ● Draft and distribute press releases concerning significant business announcements or updates
    ● Help devise materials and conduct team media training sessions for Forum teams (call center,
    sales, etc.)
    ● Pitch Forum / Forum CEO/Executive Chairman (Client) and other key executives to agreed-
    upon/recommended and rolling list of media publications and outlets to include national and
    local websites, magazines, radio, newspapers, and television networks
    ● When / if pitch is approved write or, to the best of ability, assign article, talking points or script
    to ensure best possible outcome; also provide any prep questions / materials to Client ahead of
    press opportunity
    ● Pass along any potential speaking opportunities that may arise to Client
    ● Manage Client’s calendar as it relates to interview requests and other media-oriented
    opportunities
    ● Connect Client to potential vendors (e.g., photographers) and opportunities designed to
    maximize media opportunities and manage them on their calendars when necessary/desired

    3. Fees & Costs


    As compensation for Agency’s services, Client shall pay Agency a fee of $4000 per month for the service
    period of May 15, 2022, to November 15, 2022 (6 months) with a review after the first three months
    (June 2022). Any additional strategy, marketing/branding, public relations, and social media services for
    Fred Deese required after November 15, 2022, shall require a new service agreement between the
    Client and the Agency. In a timely manner, the client shall additionally reimburse Agency for all costs
    incurred on Client’s behalf, including but not limited to all out of pocket expenses for travel,
    accommodations, or parking, etc., all costs incurred for services performed, materials produced,
    shipped and/or purchased on behalf of Client and costs incurred by Agency for staffing of Client events
    and special projects. Agency shall, however, use its best efforts to avoid such costs in excess of $200
    without Clients prior consent.
    4. Terms
    The Terms of this Agreement shall remain in effect and be binding upon the parties and their assigns
    commencing May 15, 2022 and continuing through and including November 15, 2022 (6 months). In
    the event of cancellation, upon such written notice thereof, this Agreement will automatically terminate
    thirty (30) days thereafter (the “Termination Date”). After the Termination Date, Client shall remain
    solely liable for outstanding obligations pursuant to this Agreement.
    The service fee shall be paid in installments of $4000 per month. The first installment is due prior to
    commencement of work on May 15, 2022. Agency invoices for services will be submitted to Client and
    shall be paid by Client within fifteen (10) days of date of receipt by Client. A late fee of 5% will be
    assessed for invoices not paid within 15 days of receipt by Client. Agency shall submit to Client, on a
    monthly basis, itemized statements for any expenses or out-of-pocket costs advanced on Clients
    behalf, which shall be due upon receipt. Any objection to such statement must be received in writing by
    Agency within 15 days of statement date.
    5. Default
    Failure by client to pay any amount or invoice when due in accordance with paragraphs 2 and 3 hereof
    shall constitute default hereunder and, if not cured or waived, shall constitute grounds for the
    termination or cancellation of this Agreement. Acceptance of late or partial payment by the Agency shall
    not constitute a waiver of, nor in any way prejudice Agency’s rights to receive or demand full or timely
    payments thereafter. All materials will remain the property of Agency until all invoices are paid in full.
    6. Amendments
    This Agreement contains the entire understanding and agreement between the parties with respect to
    the subject matter hereof and expressly supersedes any and all prior understandings and agreements
    relating to the subject matter hereof, whether oral or written. This Agreement may be amended only in
    writing, signed by all the parties hereto.
    7. Notices
    Any notice given by either party to the other shall be provided in writing and shall be deemed to have
    been duly given if delivered, personally or by mail, with postage pre-paid, in an envelope addressed as
    follow:

    All notices hereunder, if mailed, will be deemed received five (5) days after mailing.

    IN WITNESS WHEREOF, the parties hereto have executed or caused this Agreement to be
    executed as of the date first written above.
