This contract is made by and between the Buyers and the Sellers; whereby the Buyers agree to buy and the Sellers agree to sell the under-
mentioned goods subject to the terms and conditions as stipulated hereinafter:

Terms & Conditions:

1. Payment Term: T/T, 30% deposit, 70% payment should be again B/L
2. Price Term: DDP， DDP cost is not including VAT.
3. Port of Destination:
4. Port of loading:Xiamen / Tianjin,CHINA
5. Departure time: Within 25 working days after deposit receipt
6. Package: Grace Solar Standard package for free. Customized package will be charged depending on detail requirements, and should confirm
within 5 days after pay for the deposit. Contract should be re-made even after signing when the packaging should be customized.
7. Transshipment and partial shipment allowed.

8. Quality/Quantity Discrepancy:
(1) In case of quality discrepancy, claim should be filed by the Buyer within 30 days after the arrival of the goods at port discrepancy; In case of
quantity discrepancy, claim should be filed by the Buyer within 20 days after the arrival of the goods at port of destination. It is understood that the
Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company, Shipping Company, other
Transportation Organization are liable.
(2) Claim should be raised by the Buyer within the time period requested by seller above-mentioned after the arrival of the goods at port of
destination, the absence of which it is understood that the Buyer has accepted the terms.
(3) Shipment quantity 5% more or less is acceptable.
9. Quality Baseline:
The seller will produce standard quality products if not received specific requirements from the buyer.
10. Force Majeure:

The seller shall not be held responsible for failure or delay in the delivery of the entire lot or a portion of the goods under this Sales Contract in
consequence of Force Majeure incidents which might occur. Force Majeure as referred to in this contract means unforeseeable, unavoidable and
insurmountable objective conditions.
11. Termination:
(1) The buyer should pay extra 30% charge of the contract amount if the buyer wants to terminate the contract after the production.
(2) Either party may terminate the Basic Agreement and/or the Individual Agreement in whole or in part without any notice thereof in event of any of
the followings to the other party:
a) The buyer fail to pick up goods after regulated date 45days later and cause overstock and higher costs to the seller.
b) The Seller shall have the right to cancel and sell the goods to a third party other than the Buyer after the goods have been dispatched at loading
port and the Buyer has not paid the goods within 5 working days after the Seller promptly urges the payment.
12. The buyer is requested to sign and return one copy of the Sales Contract immediately upon receipt it. Objections should be raised by the Buyer
within 5(five) days after the receipt of this Sales Contract, the absence of which it is understood that the Buyer has accepted the terms. This
contract is transmitted by email, so the facsimile or the copy of the contract is regarded as the original contract and have the same legal effect.
13. Arbitration: All disputes arising in connection with this Sales Contract or the execution thereof shall be settled by way of amicable negotiation. In
case no settlement can be reached, the case at issue shall then be submitted for arbitration to the China International Economic and Trade
Arbitration Commission in accordance with the provisions of the said Commission. The award by the said Commission shall be deemed as final
and binding upon both parties.
14. The Seller has rights to re-make the contract when raw material and shipping costs increase by more than 5%.
