    Annexure to Income Share Agreement

    This agreement forms an Annexure to the Income Share Agreements of the series
    HM/ADMN/2022- 23 executed between Students of Katina Skills Private Limited (Student) and
    Katina Skills Private Limited (Company).

    Pursuant to that agreement, both parties agree to amend Clauses 2 and 3 of the agreement and
    replace them with the clause below.

    “During the SDT or upon its completion if the student has to go for an academic internship, then
    the Company shall endeavor to secure an internship with a stipend of INR 1,80,000/- per annum,
    followed by a job offer post the completion of the UG/PG degree of the student. In case the CTC
    of the student on the job offer is less than the Threshold Amount mentioned in the initial ISA,
    then the student agrees to secure the job offer under the condition that the amount to be paid to
    the Company through the ISA will be reduced from the initial amount in proportion to the
    difference between the CTC that has been offered and the Threshold Amount mentioned in the
    Income Share Agreement.
    Owing to this new clause, the terms Threshold Amount, duration of deduction and fixed
    deduction amounts have no significance in the new agreement but are just references to the
    initial amount mentioned in the earlier ISA”

    As an example, if a student takes a job offer at INR 4,00,000 per annum through the program
    and the Threshold Amount mentioned in his initial ISA amount was INR 5,00,000 per annum
    which entailed an Income Share payment of INR 2,00,000 to the Company then this student only
    has to pay 1,60,000 as Income Share payment to the Company. Depending on offers available
    with the Company, the student can continue to pay the new amount either in a single tranche or
    via EMI options available. The Parties hereto have hereunto set their respective signatures on
    the day and year to this agreement.
