    Invitation for Expression of Interest (EOI) for empanelment of associates for


    collaborative association for providing e-commerce solutions/ Software as a
    Service (SaaS)/ other solutions and marketing of the products/solutions:

    A. INTRODUCTION:

    MSTC is one of the largest e-commerce service providers in India and we are
    conducting e-auction for large number of the Govt. Departments, Central Public Sector
    Enterprises, State Public Sector enterprises, private companies facilitating online
    disposal of ferrous & non-ferrous scraps/obsolete materials etc. MSTC is also
    providing e-procurement services to various PSU’s/Departments. MSTC develops
    portals for specific requirement of principals and operators in sectors like finance,
    power, coal, mines & minerals, agriculture & forest produce, properties, etc. MSTC is
    regularly conducting e-auctions for scrap materials, various minerals like Iron ore,
    Manganese ore, Barytes, Coal etc. MSTC also conducts e-auction for Forest,
    Agricultural, Horticultural produces and NPAs/properties.

    The total approx. yearly volume transacted on our e-commerce portal is more than
    Rs.1.50 lakh Crores and is growing exponentially. We have more than one and half
    lakh active users in our portal who may be the prospective recipients of the e-
    commerce Services.

    MSTC intends to empanel suitable associates who can provide/deliver/market/facilitate


    e-business/e-commerce solutions/Software as a Service (SaaS)/ other value added
    solutions on their own or as aggregators.

    Scope of Work:

    The scope of work of the EOI is to have an empanelment of associate from all fields
    and have business association on revenue sharing basis on Project / Product/
    Requirement basis of our clients. Each requirement shall have its own scope of work
    and shall be the basis of deciding the revenue sharing to be finalized after mutual
    discussion between MSTC and the chosen associate. The associate shall be decided
    by MSTC on the basis of their expertise/experience and benefit to MSTC for business

    expansion. The decision to choose an associate shall be taken solely by MSTC and
    associate shall not have any right to challenge the decision of MSTC.

    The capability and eligibility of such associates should be as under:-

    a) The associates should be e-Commerce entities/Software Service providers


    pertinent to today’s emerging technologies and services or engaged in delivery
    and deployment of Software Solutions. Their product should have potential for
    integration with MSTC e-commerce portal through real-time transfer through API
    or end of day transfer through SFTP or other similar technologies, if required. The
    associate should be capable to market/install the product/services on standalone
    basis or hosted in cloud.

    The associate should have an advanced IT system and IT Team capable of


    configuration and customization and accelerated feature delivery through open
    integration protocols. The software offered by the associate may be required to
    produce CERT-in certificate on case to case basis or as requested by the MSTC’s
    client.

    The associates capability for providing robust & transparent B2B and B2C e-
    Commerce/Software/Service/Other solutions for activities facilitating “Digital India”
    initiatives of Government and/or marketing of the same will be considered as
    added advantage.

    AND/OR

    b) The associate should be technically competent and have good marketable product
    or services/solutions from any field. They should have a good service/ product/
    solutions which have a potential for use in Government / PSU sectors/ Private
    sectors.

    The associate should have an expert, technically sound and professionally


    qualified team from the relevant field for which they approach MSTC for
    empanelment.

    AND/OR

    c) The associate should be capable of collaborative association with MSTC for


    marketing of existing and potential software solutions developed by MSTC. They
    will be required to function as e-commerce delivery and marketing agents of MSTC
    on case to case basis.

    The associate should have a dedicated and experienced marketing team who may
    able to markets the products and services of MSTC.

    B. HOW TO APPLY & SELECTION PROCESS:

    1. The interested applicants shall be required to submit details of its IT infrastructure


    and IT Team, major order completed, details of marketable product/solution, proof of
    capability for marketing of MSTC Software Solution etc along with KYC documents &
    credentials (MSME / Startups certificate, Certificate of Incorporation, IT Return,
    GST/PAN and any other document which may be deemed necessary), a self-
    declaration/affidavit on being non-black-listed/non-barred by any agency/firm/department
    and a non-default certificate from a scheduled commercial bank/ nationalized bank. Non-
    default certificate from a scheduled commercial bank/ nationalized bank can be
    submitted before entering MOU.

    2. The interested applicants (except MSME / Startups) shall deposit an amount of


    Rs.1.00 Lakh against an application towards processing fee.

    3. MSTC shall reserve the discretion to short-list the applications on the basis of, but not
    limited to, preliminary interaction/discussion on the concept/idea and its commercial
    scalability, alignment with MSTC’s core functions, screening of KYC documents and
    presentation (through VC/ in person), if deemed necessary.

    4. The interested applicants will be required to submit a concept paper on business


    proposal for ready to use software solutions, / e-commerce/e-business solutions or any
    other solutions. During evaluation stage of proposal, the firm may be asked to provide
    business model and revenue model, process work flow with timelines, target user group
    and market & competitor analysis, etc. If required, they shall be asked to submit the
    Proof of Concept (POC).

    Kindly refer to Annexure A consisting of check list of documents to be submitted to apply


    for this EOI.
    E. OTHER TERMS:

    1. MSTC does not guarantee any volume of business to any associate through the
    association which shall be initially for 3(three) years, extendable as per mutually agreed
    terms and conditions.
    2. If the performance of the associate is found to be inadequate/ unsatisfactory in any
    respect, MSTC reserves the right to delist any associate from the empanelled list.
    3. Enlistment of any associate shall be solely decided by MSTC without prejudice to any
    rights whatsoever. No complaint/representation in this regard shall be entertained.
    4. It shall be the responsibility of the associate to provide correct information to MSTC
    regularly, including but not limited to, development fees and maintenance service
    charges, expected timelines, terms of service, details of manpower deployed, etc.

    5. MSTC shall enter into suitable MOU/ agreement with the empanelled associate at a
    later date, before the commencement of services.
    6. Prior to entering into a MOU for a revenue sharing arrangement with MSTC, an initial
    feasibility study may be required to be conducted on case to case basis.
    7. Last date for receiving proposals is 31st December 2024.
    8. MSTC shall reserve the right to cancel the EOI at any stage.

    9. Any matters or dispute arising out of or in relation to this EOI shall be subject to the
    exclusive jurisdiction of the Courts at Kolkata only.

    CHECK LIST for applying in the EOI.

    The interested applicant may submit the following documents to become eligible for the EOI are
    as follows.

    solutions which can be implemented on MSTC client either as a
    stand along system or through remote system such as
    Cloud/MSTC infrastructure incorporating the business module and
    revenue model, process work flow with timelines, target user
    group and market & competitor analysis, etc. along with few Work
    order and appreciation letter from any Government / PSU sectors/
    Private sectors, if any.
    9 An amount of Rs.1.00 Lakh (non refundable) processing fee
    against an application (exempted for MSME / Start-ups)
