ORGANISATIONAL STRUCTURE

At the apex is the Board of Directors vested with power to make policies for the smooth running of
the Company.

The Board comprises of the Chief Executive/Managing Director, The Divisional Managers of the
sister companies and two other Departmental heads.

At the Operational base in Port Harcourt, the Managing Director and the following executes the
policies of the Company.

CEO/Chairman –
He is an accomplished and experienced businessman. He has his B.Sc. Hon's in Business
Management whose mix of shrewdness and innovation has placed the Company on the fast lane
of growth through efficient and effective service delivery. He has over 14 years of experience in the
Oil and Gas Construction business. He directs big major construction business, like pipeline
construction, water projects, location preparation, dredging, shore protection Jetties, etc.

General Manager – An experienced graduate with M.Sc. in Business Administration, She is

actively involved in the formulating and implementing Company policies. She is a seasoned
Director who coordinates general Contract document and liaises with our clients.

Contract Manager (Operations) –

An experienced civil Engineer, B.Eng. Civil, who specializes in all engineering Works, Borehole &
Water Distribution, Pipeline Construction, Dredging and shore protection with over 13 years of
experience in this field of construction work and has worked as Operations Manager for Conau
Nigeria Limited for five years before joining SHROMB GEOTECHNICAL LIMITED , as the contract
manager in charge operations and liaises with our client representatives.

Project Manager (Civil) –

An experienced engineer who specialize in Road Construction, Borehole Drilling & piping,
Electrical Installation & distribution, Dredging and Shore Protection with over 10 years of working

experience in various field of Construction Works, Oil and Gas. He has managed successfully
many major projects before joining SHROMB GEOTECHNICAL LIMITED as a project manager.

Project Manager (Dredging) –

An experienced Civil Engineer who specializes in dredging and general construction works with
over 12years of practical experience; he has worked with C & C Engineering and other Ballast
Ham Dredging Company before joining SHROMB GEOTECHNICAL LIMITED .
A highly experienced expatriate in charge of Dredging, Shore protection, and Reclamation Works,
and has over l0 years active work experience. He has worked with various multinational
companies.

Maintenance Manager –
An M.Sc holder in Engineering Management from University of Port Harcourt who combines over
11 years of practical experience in oil and gas projects with rare strategic intuition and youthful
dynamism to enable the company achieve its present stage of growth in operations and trading
department.

Logistics Manager –
A confidant and highly motivated and experienced engineer in Civil, Electrical and Mechanical
engineering works, whose versatility, dynamism and strong sense of independent / team result
have been combined in assisting the Company over the years in the execution and coordination of
business and field operations.

Financial Controller –
He is a Banker/ Accountant who possesses a B.Sc. Degree in Accounting in addition to being a
member of the Institute of Chartered Accountant with over 15 years practical experience in the
Banking Industry. He is noted for his hard work and youthful dynamism.

Local Content Manager –

A Mechanical Engineer with 12 years practical experience in the Oil & Gas industry. He has a vast
knowledge and experience as a result of his services as project Engineer with Adamac Group, Port
Harcourt, with special emphasis in the Eastern Division operations. His experience spans from civil
engineering projects to modification/ installation of flow lines/ pipelines facilities to flow station
environmental upgrade, Oil and Gas pipeline construction and hook-up.

Safety Coordinator –
A seasoned safety manager whose experience and ingenuity has lead to the growth of safety in
the company. He is a member of Nigerian Institute of safety professionals and other safety bodies.
His experience in the Oil & Gas Sector has profited the company HSE growth.

Quality Control Manager –

An Electrical Engineer with over 13 years experience in the oil & gas industry. His experience
spaned working with many multinatational companies over the years. A seasoned Quality Control
Engineer with strong sense of team work in achieving results in project execution.

ORGINISATIONAL STRUCTURE

General
The Organization is described in the organization chart (see attachment) indicated titles,
authority and reporting relationships. Specific duties and responsibilities are contained in job
descriptions (below). The Organizational freedom is sufficient to identify quality problems,
initiate or recommend solutions, and verify implementation of corrective measures.

Accountability/Responsibility
The accountability of all the activity is assigned to the Project Managers & Engineers who are
located at the job site. They are fully responsible for supervising the organization and to ensure
that proper control, inspection and documentation are performed. They are responsible for
establishing a satisfactory working relationship with client representatives. Reporting
relationships will be as shown in attached organization chart.

The prime responsibility for performing quality work in all discipline rests with the
Superintendents, Foreman and Project Engineers etc., actually supervising the performance of
the work. The project engineer and Superintendent are jointly charged with the responsibility
for compliance with all plans, specifications, applicable codes and standards in construction
practices.

All personnel will perform their duties with job safety in mind and shall report and, if necessary,
stop all unsafe practices.

HSES POLICY STATEMENT

SHROMB GEOTECHNICAL LIMITED is aware of the overall importance of HSE

(Health, safety and environments) in the course of her project execution. Central in this
awareness is the undying belief that successful productive venture is quite unthinkable, save
in the principle of HSE.
Accordingly:
 HSE shall be built and integrated into disparate job descriptions in such a way that it
facilitates and actualizes planned business proposals.
 SHROMB GEOTECHNICAL LIMITED remains committed to the achievement of zero
fatality through effective Hazard Management System.
 The Cumulative plans/programs for HSE shall be centered on Accident prevention,
Equipment integrity, Personnel Competency, Health, Environmental protection, Security
of workers and the achievement of zero LTI.
 HSE Education and Training shall be used to stimulate HSE-consciousness among
workers and install in them discipline and right attitude to work.
 The gains of dialogue in the achievement of a non-confrontational, symbiotic relation
with Host Communities shall be harnessed.
 HSE shall continue to rank equal with productive and dredging activities.
 Effective supervision and auditing shall be used to monitor implementation.

QUALITY MANAGEMENT STRATEGY

The Quality Assurance plan contained herein and related attachments, describes
and establishes the quality assurance and control system to be used by SHROMB
GEOTECHNICAL LIMITED in performing assigned design or interpretation
of design change; control; purchasing; fabrication; and construction activities. The
purchasing and fabrication activities to be performed will be administered by our
experienced personnel.

This plan shall include a description of the procedures, instructions and measures
used to assure that design documents; shop and field fabrication and construction;
materials; and workmanship are controlled in accordance with specified contract
requirements. The plan is directed toward implementing and enforcing the quality
assurance and quality control requirement for related structures, system and
components; and for providing compliance with specified requirements. In this
regard, a listing of the items to be covered by the requirements of this plan and
related procedures, instruction and drawings project procedural controls shall be
developed and administered by project management. A separate and independent
quality assurance surveillance and audit activity shall be provided by the Quality
Assurance Representative to cover those project functions performed.

QUALITY CONTROL PLAN

SHROMB GEOTECHNICAL LIMITED Quality plan is dedicated to providing the

organization with a commitment that will establish and execute a Quality Control
Program as described in the quality control manual. All construction activities shall be
performed according to the Quality Control Program, Contract specifications and
applicable codes. If a conflict occurs between the requirements of this Quality Control
Program and the contract documents, the LATTER shall take precedence. The Contractor
Senior Management fully supports the establishment and implementation of the Quality
Control Program, with understanding that “Quality of Work” is the primary responsibility
of all Contractor employees and that Quality Control begins with each individual.

The Quality Control Department will administer this program and shall be independent of
on-site management personnel with the authority to identify nonconforming items,
recommend dispositions and corrective action, and verify implementation of those
recommendations. When a nonconforming condition cannot be resolved between Project
Management and Quality Control Department personnel, the problem will be elevated to
the attention of the Contractor Senior Management for resolution. The Quality Control
Program may only be revised or modified by authorization of the Quality Control
Manager.
