Independent Contractor Agreement
This Independent Contractor Agreement is entered into on 6/11 2024, by and between
Johnas störm the owner and CEO of Agency Gustin a company organized under the laws of
Sweden with principal offices located at Mamlö, all legal is under the law firm advokatbyrån
silver, Erwin Biscocho Ona, will work fully remote.
1. Scope of Services
1.1 Sales Services: Contractor agrees to provide sales services on behalf of the Company.
Specifically, Erwin Biscocho Ona will reach out to potential clients using phone numbers
provided via a Google Sheet, engage clients regarding the Company’s services, and close
sales for a service where the Company sources and presents real estate properties that
match client requirements, such as price, location, condition, rooms, and other specified
factors.
1.2 Sales Platform: The Company will provide the Contractor with access to a Google Sheet
containing leads (potential buyers) who are likely to have the financial capacity for the
Company’s services. Contractor agrees to use this information solely for the purpose of
executing the obligations outlined in this Agreement and shall not disclose, duplicate, or use
this information for any other purpose.
1.3 Communication Tools: The Company will provide Erwin Biscocho Ona with a U.S.-based
phone number at no cost. This number is intended solely for calls to potential clients related
to the services under this Agreement, ensuring smooth communication with leads based in
the U.S.
2. Compensation
2.1 Commission: Contractor will receive a 20% commission on the profit earned by the
Company from each successful sale closed by Erwin Biscocho Ona. Profit is defined as the
total revenue earned from each sale, minus any applicable costs associated with delivering
the service.
2.2 Bonus: For every fifth sale completed and closed by Erwin Biscocho Ona, the Company
shall pay the Contractor an additional bonus of 500 USD, payable in cryptocurrency.
2.3 Payment Terms: All payments, including commissions and bonuses, will be made in
Cryptocurrency to the Contractor’s designated cryptocurrency wallet. Payments will be made
on a monthly basis, within 15 business days following the close of each month.
3. Independent Contractor Relationship
3.1 Contractor shall have no authority to bind the Company, nor shall Contractor represent
themselves as an agent or employee of the Company.
4. Confidentiality
4.1 Contractor agrees to keep all Company information, including but not limited to lead lists,
client information, pricing structures, and service details, strictly confidential and shall not
disclose such information to any third party or use it for any purpose other than fulfilling the
obligations under this Agreement.
4.2 Upon termination of this Agreement, Contractor agrees to return or destroy any
confidential information provided by the Company.
5. Term and Termination
5.1 Term: This Agreement shall commence on the date above and shall continue on an
ongoing basis unless terminated by either party.
5.2 Termination: Either party may terminate this Agreement with 14 days' written notice. In
the event of termination, Contractor shall be compensated for all sales completed up to the
effective termination date.
6. Compliance with Laws
6.1 Contractor agrees to comply with all applicable laws and regulations related to the
performance of services under this Agreement, including but not limited to data privacy
regulations and telecommunications laws.
7. Miscellaneous
7.1 Entire Agreement: This Agreement constitutes the entire agreement between the parties
concerning the subject matter hereof, superseding any prior agreements or understandings.
7.2 Amendments: Any amendments to this Agreement must be in writing and signed by both
parties.
7.3 Governing Law: This Agreement shall be governed by and construed in accordance with
the laws of Sweden.
8. Signatures
By signing below, both parties acknowledge they have read and understand the terms of this
Agreement and agree to be bound by its provisions.
