Terms and Conditions


1. Salary Structure and Pay Out: The break-up of your annual gross salary and benefits details along with conditions
applicable are set out in Appendix. b) Salary will be paid into your salary account by 7th of every month subject to Timesheets
approvals by client manager.
2. Working Hours: TalentCafe Solutions and its clients operate 24*7 and hence you will be expected to attend office and
work during the hours assigned to you by your leaders.
3. Confidentiality : Confidential Information means information in whatever form (including, without limitation, in
written, oral, visual or electronic form or on any magnetic or optical disk or memory and wherever located) relating to the
business, customers, clients, suppliers, products, affairs and finances of TalentCafe Solutions or any group Company for the
time being confidential to TalentCafe Solutions and trade secrets including, without limitation, technical data and know-
how relating to the Business of TalentCafe Solutions or any Group Company or any of its or their suppliers, customers,
clients, agents, distributors, shareholders, management or business contacts, including in particular (by way of illustration
only and without limitation) matters with which TalentCafe Solutions legal department is involved and including (but not
limited to) information that the Consultant Company or the Individual creates, develops, receives or obtains in connection
with this Engagement, whether or not such information (if in anything other than oral form) is marked confidential. You are
required to maintain an appropriate standard of confidentiality as may be instructed by the Company from time to time. Any
disclosure of Confidential Information (including personal information kept on computer or other media) made unlawfully
or without written permission from the Company outside the proper course of duty will be treated as a serious disciplinary
offence and may result in dismissal.
Your obligations of confidentiality shall apply during your employment or afterwards All notes, memoranda, records and
other documents relating to the business of TalentCafe Solutions in your possession are and shall remain the property of
TalentCafe Solutions and shall be handed over by you to TalentCafe Solutions on demand and, in any event, upon
termination of your employment. You should understand that any breach of this clause would constitute a serious
disciplinary offence for which you may be dismissed. Should you breach this clause after your employment has ended, the
Company may take legal appropriate civil and criminal action against you.
4. Offer Letter Validity And Mandatory Documents: Our offer is subject to the completion of separation formalities at
your previous employer and the business conditions at our end. In case of any change in the business scenario, the company
has the right to change/cancel the offer extended anytime before joining date.
5. Back-Ground Verification Check : Please note that this offer is subject to the BGV check of the information and
documentation provided by you. In the event the information provided is proved to be false / untrue, the Company reserves
the right to immediately terminate your services.
6. Statutory Benefits : Provident Fund: Provident Fund will be deducted from your salary as per Employees Provident
Fund and Miscellaneous Provisions Act, 1952 (EPF). The Company will also contribute a matching amount towards your
Provident Fund (PF). The PF related components of the compensation would be governed by the relevant statutory

laws as may be applicable from time to time.


7. Gratuity: The Gratuity is paid to the associates as per the Gratuity Act, 1972 and would be governed by the relevant
statutory laws as may be applicable from time to time.
8. Statutory Compliance: Income Tax and Profession Tax or any other payments will be deducted from your salary, as
per applicable provisions of the applicable statutory laws and rules made thereunder.
9. Safety of Company Assets and Life: You shall be responsible for the safe-keeping of all The COMPANY 's property
and observance of all safety protocols failing which THE COMPANY reserves its right to take appropriate disciplinary
action against you. The disciplinary action may include fine or termination from the Services of the organization depending
on the nature and extent of the damage caused to The COMPANY’s property.

10. Health Insurance: You and your dependents will be covered as per the existing Mediclaim Insurance Policy provided
by the Company.
11. Full and Final Settlement: Your full and final settlement will be done after 60 working days from your last date of
working with TalentCafe Solutions.
12. Notice Period: This offer letter is issued on the understanding that all the information given by you in the
application employee data form / during the interview or data provided prior to and / or at the time of joining is
true. If it is found at any time that the information given by you is not correct or true or you have knowingly suppressed
any information, Company will have the right to revoke the agreement immediately without any compensation may also be
terminated immediately without notice from the Services if either you commit any serious breach or continue any material
breach of your obligations under this Agreement or persistently fail or neglect to carry out your duties under this
Agreement or fail to maintain a satisfactory standard of conduct or performance within a reasonable time after receiving
written warning from the Company relating to your conduct and/or performance. Otherwise, in normal release scenario,
notice period by TalentCafe to you would be 30 calendar days and in case you want to terminate the contract or quit the
engagement you have to intimate HR 60 days prior to doing so inwriting so that appropriate backfill can be recommended
to client.

You may also be terminated from the Services in any of the following case:
● If you become of unsound mind.
● If at any time you are prevented by illness or accident or other incapacity from properly performing your duties
for a period of a month.

If you either commit any serious breach or continue any material breach of your obligations under this Agreement or
persistently fail or neglect to carry out your duties under this Agreement or fail to maintain a satisfactory standard of conduct
or performance within a reasonable time after receiving written warning from the COMPANY relating to your conduct and/or
performance.

13. Leave: You will be entitled to personal leave as per applicable Company policy. You will be credited with 9 days of personal
leave after 6 months of Probation (1.5 x 6 = 9). You are eligible for personal leave after successful completion of
probationary term of 6 months. There are total of 18 leaves that can be availed in a calendar year. The leaves have been split
as: Sick leaves: 6 Casual leaves: 12

Please be advised that your appointment to this position is subject to continuous satisfactory execution of
performance expectations and adherence to organizational policies and procedures.

EMPLOYEE NON-DISCLOSURE AND CONFIDENTIALITY AGREEMENT

FOR GOOD AND VALUABLE CONSIDERATION, receipt of which is hereby acknowledged by me. I, the undersigned employee, do
hereby agree and acknowledge:
(i) that during the course of my employment there may be disclosed to me certain of TalentCafe Solutions (“The COMPANY ”) confidential
information consisting of, but not limited to: technical information including methods, processes, formulae, compositions, systems,
techniques, inventions, machines, computer programs and research projects, and business information including customer lists,
customer confidential information, pricing data, sources of supply, financial data and marketing, production, or merchandising
systems or plans (“Confidential Information”);
(ιι) that I shall not, during, or at any time after the termination of my employment with The COMPANY , either misuse the access or disclose
or divulge to others including future employers, the Confidential Information;
(ιιι) that upon the termination of my employment with The COMPANY , I shall return to THE COMPANY all documents and property of
The COMPANY , including but not necessarily limited to, drawings, blueprints, reports, manuals, correspondence, customer lists,
computer programs, and all other materials and all copies thereof relating in any way to The COMPANY ’s business, which I may
have obtained in any way during the course of my employment with THE COMPANY and that I shall not retain copies, notes or
abstracts of the foregoing; and
(ιϖ) that THE COMPANY may notify any future or prospective employer or third party of the existence of this against any and all claims,
costs and / or damages incurred on account of any breach by me of the terms hereof.
I hereby further agree to indemnify and hold indemnified The COMPANY, its directors, employees and agents from and against any and
all claims, costs and / or damages incurred on account of any breach by me of the terms hereof. This agreement shall be binding upon me
and my personal representatives and successors in interests, and shall inure to the benefit of The COMPANY, its successors and assigns.
