SAMPLE CONSTITUTION OF LOCAL NGO

TALO IYO TILMAAN GROUP (TTG)


Article 1:

1.1 introductions
In South Sudan during the wars the people face more difficulties in development activities such as
education, health facilities, skills, employment and opportunities. However, when they got back to
their homeland they recognized establishing organizations working for development are the most
important institution that could tackle against such existing problems more effectively rather than
individual efforts. For this reason, TTG is formed in the late of 2022 to serve the welfare of the poor
people inside and outside of the organization that would protect their lives and as well would
promote the standard of their lives

Article 2: Name of the Organization

The name of the organization isTALLO IYO TILMAAN GROUP, abbreviated as (TTG)

Article 3: Head quarter

The head office of TTG is in Juba , the capital of Juba

Article 4: Emblem

The emblem or logo of the organization is two hands representing number of people in kind of
diversity

Article 5: Status of the organization

TTG shall have legal status and personality, it shall; have the exact to sue or to be sued in its own
name
Article 6 Vision

Full participation in decision making processes and enjoying equal opportunities at all levels
opportunities in development activities .

Article 7 Mission

Talo iyo Tilmaan (TTG) is a local NGO, which is founded in 2015 in Juba city. The aim is to
improve the welfare of the poor people through providing income generating , skill trainings,
education, raising awareness against HIV/AIDS ,improving sanitation , and keeping the
environment.

Objectives

 To identify the special role that people can play in the national development efforts
 To assist poor people to become economically independent and self –reliant by providing
them with the necessary skills and education through various income generating projects.
 To assist disabled people to become socially re-integrated
 To alleviate poverty
 To fight against HIV/AIDS
 To participate information sharing the among the development organizations
 To build/strengthen the capacity of the organization

Article 8: Membership of the organization

8.1 Eligibility of membership

South Sudanese , educated minimum completed an secondary level or equivalent age between 20
and 45, innocent ,good tempered, able to understand the rules and regulations , afford to pay
monthly membership subscriptions fees.

8.2 Conditions of the membership

The applicant person who want to be a member in TTG should fulfill the following conditions
A: written application attached with his/her C.V
b. Having come up with fulfillments of the above mentioned requirements are received with
acceptance letter from TTG, the applicant shall:
I. Prepare for the initial screening test >
II. Prepare for the payment of registration and subscription fees, and monthly subscriptions fee
within specified time.

8.3 Right of membership

a) To participate in the formulation of organizational policies


b) To occupy any blank position in the origination in regard to education level

8.4 Duties of membership


Every member shall have the following obligations:
a) To pay subscription with in time
b) To attend the meeting of the general assembly

8.5 Cessation of membership

Membership of TTG will cease:


 Non-payment of subscription fees for membership for 3 consecutive months
 Violations in the constitution and the code of conduct
 Voluntarily withdrawal from the member in notice to board before one month and
subscriptions must be paid in full and non-refundable regardless the cause of withdrawal
8.6 Re-admission of membership

The member shall be re-admitted if he/she :

a) Pay membership subscriptions


b) Show a desired interest

Article 9: structures

9.1 Structure of the organization

The structure of the organization shall consist of :


 General assembly
 Board of directors
 Management team

9.2 General assembly


:
a) The general assembly is the highest committee of TTG, consist of 27 members
b) The general assembly shall meet every 6 moths An extraordinary meetings ,GA is convinced
by the request of directors or one thirds of GA.

9.3 Powers of General assembly

The General assembly shall have the following powers:

I. To check and a approve the work programs including periodic plans


II. To approve any amendments of TTG’s documents such as constitution and policies
III. To elect members of board of directors
IV. The general assembly is responsible to review the policies

9.3 The board of directors

The board of directors shall consist of 5 members elected by general assembly including chairperson
vice chairperson, secretary ,treasurer and other member
1. The period of office of the board directors shall be three (3) years (s)
2. The general assembly can terminate BOD or some of them by informal meetings held
by 2/3] by TTG members

9.4 Powers of board of directors

The board of directors shall have the following powers :-


I. To control the affairs of TTG
II. To prepare the agenda and organize meetings of the General assembly
III. To a approve membership issues
IV. To make decisions on funding, borrowing, paying and selling of the real property .
V. To a approve all TTG’s policies, procedures and subscription fees .
VI. To approve the structure, programs and plans of actions that are suggested by executive
directors
VII. To approve the budget of the organization
VIII. To formulate and implement the policy issues concerns the future of TTG

9.5 powers of chairperson

The chairperson shall have the following powers:-


I. To chair meetings of BOD and to be a chief of TTG
II. To set a policy for organizational leadership
III. To be answerable to general assembly

9.6 The powers of vice chairperson

I. To deputize the chairperson


II. To make the chairpersons responsibilities while absents, sick or leave

9.7 Responsibilities of secretary

I. To prepare minutes of meetings


II. To deal with all correspondences concerned to BOD
III. To forward notices and presents agenda to all members of the BOD
IV. To coordinate among general assembly, board of directors and executive director

9.8 Executive director

1. The purpose of the executive director is to be the leader of the organization for 55 daily
activities
2. The director is responsible to BOD and is the head of the management team
3. The director is hired an open contract with salary or can come up from the members if he has
the capability and paying him salary
4. The responsibilities of the director are:-
 To implement policy of the organization
 Represents TTG while signing agreements and meetings
 Approve all financial payments if not more than $5000. More that BOD shall
approve.
 Ensuring financial transparency of TTG
 Coordinating the running activities under supervision of BOD
 Reporting monthly on all activities to BOD monthly
 Hiring and dismissing the heads of the department with the approval of BOD

The cessation of the executive director


 Terminal of the employment contract

Dismissal by the BOD by a 4 votes or more votes, regarding the
personal policy
 Death
 Resignation
9.9 Management Team

1. The purpose of the management team is to implement TTG’s day-to-day activities


2. The management team is responsible the directors and supervise departmental activities
3. The management team are hired by the director or can come up from the members of the
organization if they are capable and paying them salaries
4. The responsibilities of management team are:-

 Implementing daily activities


 Assisting the director in making managerial decisions

The management team will meet at minimum once a week in order to share ideas,
concepts, date and information to apply the current situation, how ever , if extraordinary
situation met they can meet

Cessations of management team are: -


 Dismissal by the director regarding TTG’s personal policy
 Terminal of the employment contract
 Death
 Resignation
 Redundancy

Article 10. Finance

a) The financial year of TTG shall begin from January 1st –December 31st in
year
b) The income of TTG shall be derived from:
 Membership subscriptions fees
 Contributions from the members
 Funds provided through agreements with development agencies

Receiving payment and reporting of organizational finance shall be described by the


TTG financial policy

Article11: Properties

The organization shall have the power to acquire, vest , or dispose the property .
11:1 acquization of property
The organization shall strive to purchase, accept, lease, hire or otherwise acquire
any movable or immovable properties as may be considered convenient for the
realization of its objectives

11:2 vesting of property


All properties of the organization either movable or immovable shall be vested
and registered in the name organization

11.3 disposition of the property

The organization shall sell, donate, exchange or otherwise deal with any of its properties
as deemed

Article 12 Dissolutions

TTG shall only be dissolved by joint decision made by the general assembly , board of
directors and the director and management by of no less than 2/3 of all delegates
present . if less than 2/3 the vote shall not be passed , with out regarding the outcome.

Article 13: Interpretation of the constitution

The responsibility for the interpretation of the terms of this constitution or any matter
arising in connection with meanings is that general assembly of TTG by 2/3 majority,
with at least of all delegates present

Article 14: Approval of the constitution

The general assembly of TTG whose signature are attached as annex , approved this
constitution on September 2015 first . Never theless , some amendments had been
made by the general assembly in July 20016 that their signatures are attached . This
constitution is binding until the ratification for a later is unanimously agreed by the
general assembly.
