DEED OF CONDITIONAL SALE

OF A PARCEL OF LAND

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Conditional Sale of a parcel of land is executed by and between:

FLOR B. ABUAN, of legal age, Filipino, married to GEOFREY MACARAEG and a


resident of Aurora, Alicia, Isabela, represented by JONATHAN D. MIRANDA, of legal age,
Filipino, married and a resident of Rosario, Santiago City, Isabela, by virtue of SPECIAL
POWER OF ATTORNEY duly ratified before Notary Public Atty. Rodrigo A. Rigos dated July
26, 2021 and entered in his notarial register as Doc. No; 452; Page No. 92; Book No. 159; Series
of 2024, Copy of which is hereto attached as an integral part of this deed, hereinafter called the
VENDOR.

AND

HAZEL C. ANDAYA, of legal age, Filipino, married to ARVIN JASON M. ANDAYA


and a resident of 24B Mystic Rose Drive, Sanville Subd., Quezon City, hereinafter called the
VENDEE.

WITNESSETH:

WHEREAS, the VENDOR is one(1) of the registered owner of a parcel of land situated
in the Barrio of AURORA, Formerly Cal-lao, Municipality of Alicia, Province of Isabela, Island
of Luzon, which is more particularly described as follows:

“A PARCEL OF LAND LOT 6-C based on SUBDIVISION PLAN OF LOT 6, Pcs-2-02-


000964 AS SURVEYED FOR FLOR B. ABUAN ET AL, situated in the Barrio of AURORA,
Formerly Cal-lao, Municipality of Alicia, Province of Isabela, Island of Luzon, containing an
area of ONE THOUSAND THREE HUNDRED SEVENTY EIGHT(1,378) SQUARE
METERS, more or less, still embraced and covered by TRANSFER CERTIFICATE OF
TITLE NO. T-153960 of the Registry of Deeds for the Province of Isabela.”

NOW, THEREFORE, for and in consideration of the foregoing premises, and of the
covenants hereinafter set forth, the VENDOR agrees to sell and the VENDEE agrees to buy the
aforesaid property subject to the following terms and conditions:
1. The total consideration for the sale of the aforementioned property shall be in the amount of
ONE MILLION FOUR HUNDRED THOUSAND PESOS (PHP 1,400,000.00),
Philippines currency, payable as follows:

A. The amount of THREE HUNDRED THOUSAND PESOS (PHP 300,000.00),


representing partial payment of the purchase price, to be considered as earnest money,
shall be payable by the VENDEE to the VENDOR upon execution of this Contract.
Likewise, the VENDOR undertakes to submit the following to the VENDEE:

a. The Owner’s Duplicate Title of the Transfer Certificate of Title No. T-153960;
b. Certified True Copy of the updated Real Property Tax Declaration; and
c. Certified True Copy of the updated Real Property Tax Receipt;

B. The remaining balance in the amount of ONE MILLION ONE HUNDRED


THOUSAND PESOS (PHP 1,100,000.00) shall be payable on the following scheduled
dates, to wit:

February 26, 2025 PHP 300,000.00
March 26, 2025 PHP 300,000.00
April 26, 2025 PHP 500,000.00
2. That the expenses for the Administrative Reconstitution and transfer of the said title will be
shouldered by the VENDEE;

3. That the Real Property Tax(AMILYAR) and Capital Gain Tax will be shouldered by the
VENDOR;

4. That the VENDOR will execute the final DEED OF ABSOLUTE SALE upon receipt of the
full payment of the above-mentioned parcel of land;

5. That the VENDOR shall be obligated to submit to VENDEE any and all documents and
papers necessary for the purpose of the Administrative Reconstitution of the mother title
covering the aforementioned property;

6. That the VENDOR undertakes the obligation not to offer the aforementioned property for
sale to other persons nor shall the property be subject to any encumbrance during this period.
Otherwise, the VENDEE shall be entitled to the full refund of all delivered payments,
additionally, the VENDOR shall be liable for damages that the VENDEE will incur;

7. Non-compliance and non-performance of any of the above-stated obligations shall render this
Contract null and void;

8. Should the VENDOR fail to comply with his obligations herein set forth or he chooses to
discontinue the sale, the VENDEE is entitled to full reimbursement and for any other
damages the VENDEE will incur;

9. Failure of the VENDEE to deliver the payments within the aforementioned dates due to
insolvency, shall render the initial partial payment forfeited in favor of the VENDOR. The
VENDEE shall be given a grace period of FIVE (5) DAYS following the due date to deliver
the payment, otherwise, the initial partial payment shall be forfeited in favor of the
VENDOR.

10. That this Deed of Conditional Sale is executed FREELY, VOLUNTARILY and
WITHOUT ANY FORCE or INTIMIDATION.

IN WITNESS WHEREOF, We have hereunto set our hands this ________ day of
