MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENT:

This is an Agreement between the Barangay Council &


Sangguniang Council of Barangay Balangasan, Pagadian City herein
after called as the 1st Party and MR. NIÑO TALARION BATIDOR, of legal age
and a resident of Alaska, Mambaling, Cebu, hereinafter called the 2nd
Party.

That, in their agreement, the following the 1 st Party and 2nd Party
terms both agreed the following terms;

1. That the 2nd Party will be the Official Choreographer/Dance


Trainer/Dance Master of the Balangasan Contingent during the
Pasalamat Festival 2024 conducted by the Local Government of
Pagadian City.

2. The 2nd Party will provide the normal services associated with the
staging of the Street Dancing/Ritual Dancing of the said show of the
nature and kind as the Festive Guidelines set by the LGU, conducting
rehearsals; creating dance steps as appropriate; advising the dancers
in their performances; and promoting and publicizing the Festive Music
& Steps through instructions and other appropriate interactions with
the Dancers. If the 1st Party will require any other duties or services of
the 2nd Party, the parties agree to negotiate compensation for same in
good faith.

3. The 2nd Party shall be entitled to select assistants and dance captains,
whose compensation will be the expense of the 2 nd Party according to
the Budgetary Proposal he submitted to the 1st Party.

4. The 2nd Party will be responsible for all the expenses according to his
Budget Proposal that he passed to the 1 st Party and; the 1st Party will
be no longer responsible for all the unforeseen expenses in the future
which has included to the Budget proposal that they both agreed.

5. The 2nd Party will abide all the guidelines of the flows of the Street
Dancing/Ritual Dancing from the City Government of Pagadian
6. That the 2nd Party will receive the Amount of Four Hundred Fourty
Eight Thousand Five Hundred Fifty Pesos Only (P448,550.00)
from the 1st Party that composed of the following expenses;

448,550.00

7. That the 2nd Party will be responsible for the payment of the
transportation of all the Props, Materials and Costume to be used in the
said event. And the 1st party will be no longer responsible for the
transportation according to the proposal.

8. That the 1st Party will be responsible for the Transportation of the
Trainer/Dance Master according to the Official Receipts that he will
presents to the 1st Party.

9. That, if ever the contingent will finish in the podium, the 1 st Party and
the 2nd Party agreed that there will be percentage divided in the
following manners;

 If the contingent will finish in the Podium (Champion, 2 nd Place, 3rd


Place, 4th Place) the following terms will be;

10. That, if ever the contingent has no placement, the 1 st Party and
the 2 Party both agreed that the consolation prize will be solely

awarded to the 1st Party to refund all the expenses that was expended
during the duration of Practice.

11. That the 1st Party & the 2nd Party agreed that all the
Props/Materials will be remain to the 1st Party after the conclusion of
the said event. And the 2nd party will be no longer liable of the said
Props/Materials.

12. That the 1st party will be responsible for the meals, medicines,
energy drinks, transportation of the Dancers during the duration of
their practice.

13. That, This Agreement is binding on the parties, their heirs,


successors, and assigns.

14. In the event a claim or a dispute arises out of this contract, which
the parties cannot resolve in face-to-face discussions, either party may
bring the matter before a member of, and under the rules of, the Legal
and Higher Courts. The arbitration will be binding on both parties. The
arbitrator may require the losing party to pay the costs and reasonable
attorney’s fees of the prevailing party. Judgment upon such arbitration
award may be entered by any court of competent jurisdiction.
