where the author is writing about a
particular subject that requires
direction, instruction, or explanation.

What are Legal-related Documents?

 Legal-related documents are documents


created in order that parties (or the general
public) be guided, instructed, or directed.
 Said documents usually contains legal
terminologies and legal forms.
What are some of the kinds of Legal-
related documents?
1. Terms of Reference (TOR)
2. Memorandum of Agreement (MOA)
3. Ordinances/ Code
4. Internal Rules and Regulations
(IRR)/ Guidelines
What is a TOR?
 A TOR is a form of an agreement
which refers to the scope and
limitations of an activity or area of
knowledge
 It is often use when plans, programs,
and activities are sourced out via
Consultation.
What is a TOR?
 In general, a TOR is composed with
the following sections:
• Background
• Justifications for hiring a Consultant
• Objectives
• Scope of work/ deliverables
• Expected Results
• Service Provider
• Data, local services, personnel and facilities
to be provided by the CGB

• Proposal Acceptance
• Cost of Engagement and Payment Schedules
• Successors and Assigns
• Dispute Resolution
• Termination

How is a TOR processed?
 All draft TOR must be submitted to
the CMO for the Mayor’s approval.
(NOTE: Most of the time TORs are
forwarded to the City Legal Office for
the review of the City Legal Officer
before the Mayor approves it);
 Once approved, TOR shall be

submitted to BAC along with the
PPMP for generation of PR;
 PR shall be signed by the End-user
and shall be submitted to Budget
Office for Certificate on Availability
of Appropriation (CAA)
 It shall then be forwarded to the City
Accounting’s Office,

City Treasurer’s Office, and finally,
City Mayors Office for signing;
 After signing of the abovementioned
offices, all documents shall be given
to the BAC for bidding.
What is a Memorandum of
Agreement (MOA)?
 A MOA is a written document
describing relationship between two
parties who wished to work together
on a project in order to meet an agreed
upon objectives
What is a Memorandum of
Agreement (MOA)?
 In general, a MOA is composed with
the following sections:
• Name of the parties involved;
• Legal basis, authority, purpose of agreement,
brief description of the agreement;
• Detailed description of Roles and
Responsibilities;
