    D. Terms and Conditions


     Prices are VAT exclusiv e
     ACTS VAT # 300680363200003
     PO is required from the customer as an official agreement, mentioning the reference and
    number of tests required along w ith copy of company Commercial Registration (C.R
    copy) and VAT Certification before proceeding with the test.
     M/S CCS Co. to prov ide work permit/gate passes if necessary, to ACTS staffs and v ehicle.
     M/S CCS Co. to arrange and ensure the safety measures on site.
     Payment Terms: 100% payment is required prior to report submission.
     Validity of this offer is 30 days.

    G. Confidentiality Agreement
    Upon Approving this offer or providing P.O the below agreement will be applied:
    1. Each of the parties undertakes w ith the other not to disclose to any third party or use for any
    purpose other than as contemplated by the Serv ices any confidential information supplied
    by the other party sav e as may be required by law or the employees who have reasonable
    need to see and use such confidential information:
    a) Which is already in the public domain at the time of disclosure otherwise than through
    a breach of obligations hereunder;
    b) Which w as legally in the possession of the relev ant party prior to such acquisition; or
    c) Where disclosure is required by law or order of Court.
    2. None of the material or information prov ided by ACTS to the Client shall be used by the
    client to conv ey any connection with ACTS, or any endorsement or implied approv al of, or
    on behalf of, ACTS of any aspect of the client’s business or product except for disclosures
    required by the regulatory submissions or with the prior consent of ACTS. Each party aggress
    to maintain secrete and confidential all information relating to the business affairs method
    and know -how of the other that it acquires pursuant to the Contract.
    3. The copyright in any report or w ritten statement of the data produced by ACTS shall be
    v ested in ACTS. The Client shall not reproduce, except for its ow n internal purposes, such
    report or pass the same under circumstances to any third unless agreed in w riting w ith ACTS.
    4. Data is prov ided solely to the client for the purpose for w hich it w as specifically
    commissioned. ACTS accept no liability if the data is used for any other purpose or by
    anyone other than Client.
    5. The Client shall not identify to any third party the name of ACTS as the originator of the Data
    or as a party to the Contract unless agreed in w riting by ACTS.
