PAYMENT TERM/METHOD : Irrevocable, Documentary, (non)Transferable, Divisible, Revolving Letter
of Credit, issued by Buyer's bank and at sight to the Seller for the value of the shipment and will be released immediately after presentation of the shipping documents, as further stated in the proforma invoice and/or SPA.
GOVERNMENT TAX : 6% sales and service tax, whereas the Buyer pays 4.5% and the Seller pays 2%

NOTES:
1. This ICPO forms the legal basis for the Seller's transfer of these terms and parameters for preparing of the draft sale and purchase agreement (SPA) and shall become an integral part of the future contract and valid for up to ____ days.
2. This ICPO is for the purchase of ________________ and is not to be circulated and is only for the purpose of this deal.
3. By sending this ICPO we state with full legal responsibility that we are irrevocably ready, willing and able to purchase the product as explained and we are aware that this ICPO is the only current active and valid ICPO and has been exclusively offered to Seller, for the release of the FCO.
4. We understand that any and all offers and/or contracts are subject to successful Seller verification of our funds availability. We hereby give our written permission for the Seller to conduct a soft probe of our account.
5. This ICPO is subject to final approval and agreement by both Seller and Buyer and all the terms and conditions herein as well as the subsequent SPA including any amendments or variations thereof all of which have to be reduced in writing and signed by both parties hereto.
