Subject: Appointment Letter

Dear Supriya,

We are delighted to offer you the position of Business Development Executive with
“TECHRADIANCE” (the “Company”), with effect from 6th may 2024. You will be working from home
(our office situated at Delhi).

The appointment is subject to a satisfactory verification of your qualification, references or any


background checks as the Company may deem fit.

1. Compensation and Benefits Structure

Your total compensation (in CTC terms, i.e., including the total cost of provided benefits) will be
15,000- per month for initial two months after that according your performance it will be 30,000/-
per month less payroll deductions and all required with holdings. Your salary will be payable in
accordance with the Company's standard payroll policies. The attached Annexure – A, provides
details of the breakup of CTC.

Your compensation is highly confidential, and you agree to discuss it only with your reporting
manager.

2. Code of Conduct, Role and Performance

You will faithfully and to the best of your ability carry out the duties and responsibilities
communicated to you by the Company. You shall comply with all company policies, rules, and
procedures at all times. You shall adhere to all guidelines, practices, norms, and requirements that
are enforced by the Company in the performance of the functions and obligations of the job.

Your responsibilities and duties are primarily set out in Annexure - B, and as may be amended
from time to time. You are required to carry out all duties that are normally associated with
employment of this nature in the Company. However, in addition to your usual duties, you may be
required to discharge and perform any responsibility or work that may be entrusted and assigned to
you by the Company. You shall also be responsible for the effective functioning of the staff or
employees, if any, under your supervision. You shall operate in line with the terms of this letter and
in the Company’s best interests.
4. Probation & Confirmation

From the Effective Date, you shall undergo 3 (three) months of probation in the Company, which
may be terminated or extended if so, deemed necessary by the Company for such further period as
the Company may deem fit.

If you successfully complete the probation period, either initial or extended, as the case may be, the
Company may in its sole discretion confirm your employment. You will be deemed to be on
probation till you receive the letter of confirmation in writing from the Company.

During the initial probation period either party can terminate this offer with 7 (seven) days prior
written notice without assigning any reasons thereof. During the extended probation period, i.e.,
beyond a period of 3 (three) months, the Company may terminate your employment with 1 (one)
months’ notice in lieu thereof.

5. Termination/Resignation

Your appointment with the Company will be subject to termination by the Company with one (1)
months’ notice by the Company.

Should you wish to resign from the Company, you shall provide the Company with a prior written
notice of 1 to 3 months according to your roles and responsibilities in accordance with the
Company policies. In the event of such resignation, the Company reserves the right to require you
to make yourself available during all office hours, or for such extended notice period from the date
of tendering your resignation, as maybe required by the Company at its discretion in order to ensure
smooth transition. You shall not avail of any leave during the notice period without the written
approval of the Company. In case any leave is availed by you during the notice period, the notice
period can be extended at the sole discretion of the Company. The Company, at its sole discretion,
may allow a set off of leave, against the notice period or payment of an amount equivalent to fixed
compensation for a shortfall in the notice period. In the event, that any disciplinary proceedings are
either contemplated or pending against you, the Company shall have the right not to accept your
resignation.

The Company shall be entitled to terminate your employment immediately without any notice on
account of breach of the terms under this letter, or gross negligence, fraud, willful misconduct, if
you have made any false representation to the Company’s clients, are found to be inefficient or
insubordinate or discourteous to other employees or to the Company’s clients, are guilty of
misconduct including but not limited to harassment of any nature at the workplace or at the client
location, have been negligent in performing the duties assigned, violate any terms of this offer
letter or are unable to perform the essential functions, responsibilities and duties of employment
Upon termination / resignation of your employment, you shall ensure that you shall deliver
promptly all records, manuals, books, blank forms, passwords, documents, letters, notes which are
the property of the Company, and all other property, trade secrets and confidential information.
Compliance with data protection regulations and company policies is mandatory, and any breach
may result in disciplinary action or legal consequences. Further, upon departure, you will be
responsible for ensuring the smooth transition of projects, client relationships, and operational
responsibilities.

6. Benefits

You will also be eligible for standard benefits, such as you will be getting the virtual no. for
calling to the extent applicable generally to other employees of the Company. The Company may
modify compensation and benefits from time to time, as circumstances deem necessary.

7. Company Policies

During the course of your employment with the Company, you shall be required, to keep yo*urself
informed, updated and comply with, all the policies and procedures of the Company, to which you
will have access through the Company portal, in force and as may be amended from time to time.
Please note that all the policies of the Company, as applicable, shall apply to you uniformly and,
shall be considered to be an integral part of your terms of employment with the Company. The
Company shall not be responsible for any damage/loss of any nature whatsoever accruing to you,
owing to you not being aware of and/or updated with any such Company policies and amendments
thereto.

7A. Absence Clause. In adherence to company policies, you will be required to notify you immediate
supervisor or designated authority prior to any planned absence from work, preferably before the
start of the workday, unless exceptional circumstances prevent timely communication. Failure to
provide notification for three consecutive absences will be considered a breach of employment
obligations and may lead to the initiation of an absconding case. Such action could result in
disciplinary measures, including but not limited to suspension of pending salary payments,
forfeiture of benefits, or termination of employment without a full and final settlement. It is
incumbent upon you to uphold regular attendance and communicate effectively to mitigate any
adverse consequences.

8. Confidentiality

You will maintain strict confidentiality as regards all matters concerning the Company and will not
divulge any information regarding the Company to any third party, without the prior written
consent of the Company.

9. Data Protection

You consent to the Company collecting, processing and handling data, including personal and
sensitive personal data, relating to them for legal, personnel, administrative and management
purposes.
10. Exclusivity

Your employment with the Company shall be on a full-time basis and during the period of
employment with the Company, you shall work exclusively for the Company and not undertake
any other work either for remuneration or on an honorary basis.

11. Representations and Warranties

a) You declare that you have all necessary permissions, licences, and memberships required to
perform your duties under this letter and in the Territory.

b) You declare that you do not have any obligations arising from a contract or otherwise in favour of a
prior employer or third party, which would impose restrictions on your ability to carry out your
Company related functions and duties, except for restrictions arising from confidential
obligations under your previous employment, which obligations have been disclosed to the
Company by you. You further declare that you have not been arrested or convicted by any court
for any offence.

12. Indemnity

By signing this letter you agree to indemnify the Company against any/all legal action with a
previous employer, in connection with your current employment. You assure the Company that
you have cleared all your dues/payments towards your previous employer, if applicable.

13. Hours of Work

Depending upon the nature of your role, you may be required to work on a normal/shift basis
wherein the workdays and timings will be determined by the relevant department. However, in
general, the working days/hours of the Company is Monday to Saturday timings are 10 am to 7 pm.
You are required to complete all associated administrative requirements. You are expected to
devote your time during working hours to the exclusive business of the Company.

14. Leave

Your leave entitlements will be as per the Company’s policies (as amended from time to time).

15. Ownership of Intellectual Property

All intellectual property in relation to all work products created during the course of employment
or procured by you during your employment, and all other materials developed and/or prepared by
you, whether or not prepared alone or with others, in relation to and pursuant to this letter, shall be
the sole and exclusive property of the Company and cannot be shared or produced in public or to
any third party without the permission of the Company. All intellectual property prepared by you,
shall be regarded as having been made under a contract of service.
16. Non-Solicit and Non-Compete

You shall not under any circumstances at any time during the term of your employment with the
Company and until the expiry of one (1) years from the termination of this employment (for any
reason):

(a) directly or indirectly solicit or hire or attempt to hire the Company’s personnel. (b) personally,

or through any other person, approach, recruit of otherwise solicit employees of the Company to
work for any other organization in relation to any business activity that competes with business of
the Company.
(c) directly or indirectly encourage any personnel to leave the employment of the Company or
apply for employment with any third party.
(d) engage in soliciting business or allied business that is in any way similar, identical or
competitive with the business, activities, services of the, or with those customers of the
Company with whom you had any contact, nor would you enter into any engagement or
agreements in any form whatsoever of employment, consulting, advisory etc., with any
company which has businesses competitive or similar with the business of the Company or
where such engagement or agreement shall result in your participation in building of business
which are competitive with or similar to the business of the Company.

If you accept this offer, this letter shall constitute the complete agreement between you and the Company
with respect to the terms and conditions of your employment. Any prior or contemporaneous
representations (whether oral or written) not contained in this letter or contrary to those contained in this
letter, that may have been made to you are expressly cancelled and superseded by this offer. Except as

otherwise specified herein, the terms and conditions of your employment may not be changed, except in
another letter or written agreement, signed by you and the Company’s CEO.

Any dispute or difference that may arise in relation to any matter touching the terms of this letter shall be
resolved by a sole arbitrator appointed by the Company. The courts in New Delhi, India alone shall have
jurisdiction to the exclusion of all other courts.

accept our offer, your start date will be designated as 6th may 2024.
