Upon consideration of the STIPULATION RESOLVING PHADIA US, INC.S (1) CLAIMS AND (2) OBJECTION TO THE CONFIRMATION OF THE DEBTORS FIRST AMENDED CHAPTER 11 LIQUIDATING PLAN OF REORGANIZATION (the
Stipulation)1 entered into by the Debtors and Phadia, and for good cause shown, IT IS HERBY ORDERED THAT: 1. 2. 3. The Stipulation is hereby approved in its entirety. The Scheduled Claims are hereby deemed to be disallowed. Claim No. 49 is hereby deemed to be allowed as an administrative reclamation
claim in the amount of $58,011.38 pursuant to 11 U.S.C. 503(b)(9) and shall be paid in full on the effective date of the Plan pursuant to the terms of the Plan. 4. Claim No. 50 is hereby deemed to be allowed as a general unsecured claim in the
amount of $63,965.84 and shall be treated in accordance with the terms of the Plan. 5. Claim No. 51 is hereby deemed to be allowed as a general unsecured claim in the
amount of $89,851.63 and shall be treated in accordance with the terms of the Plan. 6. All other claims of Phadia against the Debtors and their bankruptcy estates are
hereby deemed to be disallowed in their entirety. 7. 8. Phadias Objection to the Plan is hereby deemed to be withdrawn. The ballot cast by Phadia pursuant to Claim No. 49 is hereby deemed to be
withdrawn, as administrative claims are not entitled to vote on the Plan. 9. The ballots cast by Phadia pursuant to Claim No. 50 and Claim No. 51 are hereby
deemed to be changed from votes rejecting the Plan to Class 4 votes accepting the Plan. 10. Notwithstanding any other provision hereof, (a) the Debtors are hereby deemed to
have retained all claims, including, but not limited to, any avoidance action claims under Chapter 5 of the Bankruptcy Code that the Debtors may have against Phadia (the Litigation Claims), (b) Phadia is hereby deemed to have retained any defenses it may have to any Litigation Claims, and

(c) Phadia is hereby deemed to have retained any claims it may now have or may have in the future pursuant to 11 U.S.C. 502(h). 11. The Debtors shall cooperate with Phadia in good faith regarding any alleged
Litigation Claims and exchange information with Phadia regarding any such alleged Litigation Claims in advance of filing any adversary proceeding against Phadia to pursue any alleged Litigation Claims. 12. The Court has and shall retain exclusive jurisdiction over the Stipulation and the
issues raised therein. 13. The terms of this Stipulation are binding and not mere recitals.
