Saga Publishing Ltd. Magazine conditions
1.
In these Conditions:
5. A Booking shall be accepted on the basis of the following conditions which the Publisher shall specify:
The Publisher means Saga Publishing Ltd. Saga Advertiser means the person whose products and / or services are
promoted by an Advertisement. Customer means the person placing the order for an advertisement in any
Saga Media. Advertisement means any material promoting a business or its products or services to be printed in
or appear on any Saga Media or distributed as loose inserts with Saga Magazine. Advertisement Rates means the
publishers rates of advertisements from time to time in force. Cover Date means the date of publication of the issue of
Saga Magazine in which the Advertisement is to be published or inserted or the date an Advertisement will
appear on the Saga Website.
a) A date by which the Customer shall provide the Publisher with a final copy for the Advertisement (the Copy Date);
b) The specifications for and a date and place of delivery to the Publisher of any inserts to be distributed with the Saga
Magazine and a maximum weight of such inserts; and
c) The fee payable by the Customer in accordance with the Advertisement Rates (the Fee).
2. These Conditions shall apply in relation to all advertisements to the exclusion of any other terms or conditions except as
specifically agreed in writing by the Publisher. The Customer and the Advertiser shall comply with them and,
where the Advertiser also fulfils the requirements applying to it. Where the customer acts on behalf of and can bind the
Advertiser, the Customer shall deal on these terms on the Advertisers behalf and the Advertiser shall be obliged
to comply with them. Without limiting the generality of the preceding sentence the Customer hereby acknowledges that
it is in all cases able to bind the Advertiser and that the Advertiser shall comply with the terms of these
Conditions in all aspects.
6. No Advertisement shall include the words Saga or Reader Offer or any words suggesting that the products or services
being advertised in the Advertisement are being offered on exclusive or preferential terns to readers of Saga Magazine
or persons who access the Saga Website without the specific prior written approval or the Publisher.
7. The publisher reserves the right not to publish or to postpone publication of any Advertisement if:
a) The customer or the Advertiser breaches or is considered by the Publisher likely to breach any of these terms;
b) Space is not available in the proposed publication of Saga Magazine (if appropriate);
3. No advertisement will be accepted unless the following details are provided to the Publisher at the time of booking
(a Booking):
c) The publisher considers in its reasonable opinion that the copy if the Advertisement provided in accordance with
Condition 5 should not be included in Saga Media for any of the reasons set out in Condition 4;
or
c) Whether the proposed Advertisement is for Saga Magazine or the Saga Website;
e) Any proposal to include the words Saga or Reader Offer or any words suggesting that the products or services
being advertised in the Advertisement are being offered on exclusive or preferential terms to readers of Saga Magazine
or persons who access the Saga Website.
The Customer shall immediately inform the Publisher of any change to these details.
4. The publisher may refuse to accept a Booking for any Advertisements in its absolute discretion and will always do so is
in its sole discretion, the Advertisement or any thereof:
a) Would be detrimental to the reputation or quality of Saga Media or the Saga group of companies or would risk
causing confusion offence or loss to readers of Saga Magazine or persons who access the Saga Website;
b) Would be detrimental to the balance of Saga Media taking into account the other advertisements and articles in Saga
Media;
c) Would be in any way patronising towards or disparaging of Saga Media, the Publisher or its readers or customers
respectively;
d) Could give rise to a claim by a third party against the Publisher on whatsoever grounds;

f) Any inserts are not provided in accordance with Condition 5 (b) or, where relevant, to modify an Advertisement in
such manner as it considers would rectify such problem.
8. The Publisher further reserves the right at any time to modify the space or position of insertion of an Advertisement if
the Publisher considers, in its sole opinion, that:
a) The proposed position conflicts with that for another Advertisement in the same edition of the Saga Magazine or the
Saga Website; or
Prior to making any such modifications Saga shall notify the customer who shall be entitled to cancel the Booking and
receive a full reimbursement of any Fee paid if it does not accept the modifications proposed by the Publisher.
9. Each of the Customer and the Advertiser warrants that no Advertisement which they place will contravene any Act of
Parliament or in any other way be illegal or defamatory or infringe any other partys rights or contravene the British
Code of Advertising Practice or any other applicable standards or codes of practice from time to time. On request, the
Customer and the Advertiser will provide a legal opinion confirming this to be the case.
10. The Customer shall pay invoices within 30 days of the Cover Date (or where publication does not occur due to a breach
of contract by the Customer or the Advertiser, the Cover Date originally specified.) The Publisher reserves the right in
its absolute discretion to require payment in whole or in part at any time before the Copy Date. If payment is not made
accordingly then without prejudice to its other rights the Publisher may charge interest on the amount overdue at the
rate of 3% per annum over the base rate of Lloyds Bank Plc from time to time after as well as before any judgement.

11. All Advertisement Rates are gross of Agency commission but exclusive of VAT and the currently Advertising Standards
Board of Finance surcharge payable by the Advertiser. The Customer is responsible for collecting this surcharge from
the Advertiser Standards Board of Finance.
12. If the Publisher accepts cancellation of an Advertisement or series of Advertisements or withdraws an Advertisement
because of a breach by the Customer of these Conditions on in accordance with Conditions 7(a), (d), (e) and (f) or 18 it
is entitled to make a cancellation charge not exceeding the full fee payable pursuant to Condition 5 and to with draw or
be refunded any series discount to which the Customer or the Advertiser would otherwise have been entitled.
20. The Advertiser shall not (other than at the specific request of a reader) make or permit to be made a direct sales visit, or
any appointment for such a visit, to readers who have responded to their Advertisement.
21. a) The Customer shall notify the Publisher of any complaint it or the Advertiser may have regarding the Advertisement,
its publication, or the terms of performance of this contract forthwith upon the circumstances giving rise to the
complaint coming to its attention and in any event within 30 days after the Cover Date
b) Neither the Publisher nor its officers, employees or subcontractors shall in any circumstances be liable to the
Customer or the Advertiser for any indirect or consequential loss (including loss of revenue or profit or loss or liability in
respect of any third party claim) arising from any Advertisement or in connection with any Saga Media
14. The Publisher reserves the right to charge the full rate for inserts where the Advertiser fails to deliver them at the time
and place agreed in accordance with Condition 5. Surcharges will be applied if the weight if the insert exceeds the
weight advised to the Publisher.
c) The Publisher shall make all reasonable endeavours to ensure that loose inserts are included in the Saga Magazine in
accordance with the booking, but shall not be liable for any failure to achieve this objective. If the Publisher fails without
good cause to include inserts in an issue of the Saga Magazine the Customer shall be entitled at its option to have the
insert included in the next available issue or to be refunded the Fee paid to the exclusion of any other liability on the
Publisher its officers employees or subcontractors.
15. Except in the circumstances set out in Condition 12 the Customer must give at least four months notice prior to the
Cover Date to stop or suspend an Advertisement. The Publisher may, in its sole discretion, charge the Customer the full
Fee in respect of any Advertisement stopped or suspended by the Advertiser on less than such period of notice.
d) The Publisher will take reasonable care in the performance of the reproduction and printing of Advertisement on Saga
Media. The Publisher shall not be liable to the Customer or the Advertiser in respect of any direct or indirect loss incurred
by them arising from:
i) Any delay in the publication of Saga Magazine or the date an Advertisement appears on the Saga
Website;
13. The Publisher may recover from the Customer and the Advertiser all costs incurred directly or indirectly by the Publisher
as a result of artwork being provided to the Publisher:
a) Other than in accordance with the mechanical specifications for artwork contained in the Publishers rate card or
otherwise notified to the Customer; or
16. If a copy of the Advertisement is not received by the date agreed pursuant to Condition 5 the Publisher may cancel the
Booking and the Customer shall pay the Fee by the Cover Date. Interest shall accrue on all amounts outstanding after
the Cover Date in accordance with Condition 10.
ii) Any errors arising from the reproduction and printing of an Advertisement in any Saga media.
17. All property belonging to the Advertiser including original artwork is held by the Publisher at the Customers risk and the
Customer is responsible for ensuring that the same are insured against loss or damage for whatever cause. The Publisher
reserves the right to destroy all artwork which has been in its custody after twelve months from the date of its most
recent inclusion in any Saga Media.
22. Each of the customer and the Advertiser shall hold harmless and indemnify the Publisher and its officers, employees and
subcontractors from and against all actions proceeding costs claims liabilities and losses (including legal costs) arising
out of:
e) The liability of the Publisher and of its officers employees and subcontractors under this contract or in tort (including
negligence) or otherwise shall be limited to the Fee paid by the Customer for the relevant Advertisement.
18. It is a condition of acceptance of the Advertisement that each of the Customer and the Advertiser undertakes that
names and addresses obtained by the Advertiser as a result of the publication of the Advertisement:
a) Any claim or allegation that the Customer or the Advertiser (as the case may be) is in breach of any of its obligations
hereunder; and
b) Any claim made against the Publisher arising out of the publication of the Advertisement; and
a) Shall not be sold or provided on any basis whatsoever to any other person or organisation; and
b) Will be used only by the Advertiser and only in connection with the supply or offer of products and / or services
which are substantially similar to the products and / or services the subject of the Advertisement.
23. The rights of the Publisher hereunder shall not be waived or affected by the Publisher to exercise any of its rights
hereunder.
19. Each of the Customer and the Advertiser undertakes to comply at all times with the Data Protection Act 1998 and
the regulations, codes of practice and guidelines made thereafter (the Data Protection Act) in respect of information
obtained by it as a result of an Advertisement in any Saga Media. The Advertiser warrants that it has appropriate
technical and organisational measures in place to protect any personal data processed by it against unauthorised or
unlawful processing of personal data and against accidental loss or destruction of, or damaged to, personal data held or
processed by it and that it has taken reasonable steps to ensure the reliability of any of its staff which will have access to
such personal data.

24. No person other than the Publisher and the Customer may enforce these Conditions by virtue of the Contracts (Rights if
the Third Parties) Act 1999.
25. These Conditions shall be governed and construed in accordance with Laws of England and the courts of the England
shall have exclusive jurisdiction to settle any claim, disputes or matter of difference which may arise out of or in
connection with these Conditions or the legal relationships established by these Conditions.
