    SERVICE AGREEMENT

    This Service Agreement ("Agreement") is made and entered into as of this [___] day of [Month],
    [Year], by and between:

    1. Vedantu Innovations Private Limited, a company registered under the Companies Act,
    1956, having its registered office at No. 1081, 3rd Floor, Vistar Arcade, 14th Main Road,
    HSR Layout Sector 3, Bangalore - 560102 (hereinafter referred to as "Vedantu"), and
    2. Ira Solutions, a company with its registered office at Sec 15, Part 1, Gurugram
    (Haryana), GSTIN: 06ANWPJ3942P1Z5, managed by Sakshi Jhamb (hereinafter
    referred to as "Ira Solutions").

    RECITALS

    WHEREAS, Vedantu is engaged in the business of providing educational services and wishes
    to procure services for the creation of mock exam papers for National Level exams; and

    WHEREAS, Ira Solutions agrees to provide the services of creating these mock exam papers as
    per the terms and conditions set forth in this Agreement;

    NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein,
    the parties hereto agree as follows:

    1. SCOPE OF SERVICES

    1.1 Ira Solutions agrees to create mock exam papers for National Level exams as specified by
    Vedantu.

    1.2 Each exam paper will contain questions as per the guidelines provided by Vedantu.

    2. COMPENSATION

    2.1 Vedantu agrees to pay Ira Solutions a rate of INR 50 per question if the number of questions
    is more than 1000.

    2.2. Payment will be made upon successful completion and acceptance of the exam papers by
    Vedantu.

    3. Quality Assurance

    3.1. All exam papers will be subject to a quality check by Vedantu’s team of teachers. 3.2. If any
    quality issues are found, such as the test paper syllabus not matching the actual exam syllabus
    or errors in the questions, Vedantu reserves the right to impose penalties on a pro-rata basis.

    3.3. Penalties will be imposed at the rate of INR 50 per erroneous question, and no payment will
    be made for those questions.
    3. TERM AND TERMINATION

    3.1 This Agreement shall commence on the date first above written and shall continue in effect
    until terminated by either party with thirty (30) days' written notice to the other party.

    3.2 In the event of termination, Ira Solutions shall be compensated for the services rendered up
    to the effective date of termination.

    4. PAYMENT TERMS

    4.1 Ira Solutions shall invoice Vedantu after the completion of the work (creating question
    papers as per guidelines provided by vedantu)

    4.2 Vedantu shall make payment to Ira Solutions within thirty (30) days of receipt of the invoice.

    5. CONFIDENTIALITY

    5.1 Both parties agree to keep confidential all information exchanged between them related to
    this Agreement.

    6. INTELLECTUAL PROPERTY

    6.1 All intellectual property rights in the questions created by Ira Solutions shall belong to
    Vedantu.

    7. GOVERNING LAW

    7.1 This Agreement shall be governed by and construed in accordance with the laws of India.

    8. DISPUTE RESOLUTION

    8.1 Any disputes arising out of or in connection with this Agreement shall be resolved through
    amicable negotiations. If the parties are unable to resolve the dispute within thirty (30) days, the
    dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act,
    1996.

    9. MISCELLANEOUS

    9.1 This Agreement constitutes the entire agreement between the parties with respect to the
    subject matter hereof and supersedes all prior or contemporaneous agreements or
    representations, whether written or oral.
    9.2 No modification, amendment, or waiver of any provision of this Agreement shall be effective
    unless in writing and signed by both parties.

    IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the day and
    year first above written.
